Governance Explanations

Form 990, Part VI, Section A, Line 4

During the 2017 fiscal year, the following changes to the bylaws were adopted by the board of directors: day-to-day activities of the board are delegated to the executive committee (article iii.f.) the board size may increase to up to 60 directors, with no more than eight new directors being elected in any one year (article iv, section 4.2) currently serving directors may serve up to three consecutive terms instead of two (to help facilitate a smooth transition to a larger board) (article iv, section 4.3) creation of an advancement committee to focus on how the college can help advance the college, which will also include non-foundation board members and members of the community (article vii, section 7.1 and section 7.10) expansion of the executive committee to 17 people (article vii, section 7.2)

Form 990, Part VI, Section B, Line 11B

The return was prepared by an independent accountant with assistance and oversight by management. The full board was provided a link to access the complete form 990, online, prior to the presentation to the members of the audit committee. The form 990 is filed with the irs following the board review online. The audit and finance committees members review the form and supporting schedules. Following review by the committees, the chair of the audit committee presents a summary review of the 990 to the board. The board documents this review in the meeting minutes.

Form 990, Part VI, Section B, Line 12C

A copy of the conflict of interest policy along with a questionnaire is distributed annually to each board member. Board members complete the questionnaires and return them to the organization.

Form 990, Part VI, Section B, Line 15

The foundation's employees are hired and paid by the college of charleston. The foundation then reimburses the college for portions of the employees' salary costs. The hiring process is monitored by the human resources department of the college of charleston and is subject to the college's policies and procedures. In recent years when hiring officers and key employees, the foundation in collaboration with the college of charleston has contracted with outside executive search firms who assist in locating and interviewing candidates. The foundation consults with the search firm and uses the firm's experience and expertise in determining compensation packages for these individuals that are comparable to those of similar organizations. Compensation for the top executive, the executive director of the foundation, is approved by the chair of the board, prior to hiring. Compensation for key employees paid by the foundation and the college are approved by the chair of the college board of trustees as well as the foundation.

Libraries katie levi gifted the foundation full-size folio reproductions of the audubon books valued at more than $32,000. Since the foundation has the original audubon folios, which are normally exhibited two at a time, turning pages once a week, these reproductions will allow the college to let students and visitors touch the images, turn pages, and get up close and personal with these unique resources. The gaylord and dorothy donnelley foundation granted $200,000 and philanthropist linda ketner issued a $25,000 challenge grant to support the documenting lgbtq life in the lowcountry initiative, which seeks to shed light on the experiences of the region's understudied lgbtq population by collecting archival materials and recording oral histories. School of the arts the joanna foundation gave the halsey institute of contemporary art a gift of $50,000 to support its endowment. The gift is being used to leverage other donations to continue building the halsey's endowment. In recognition of this generous commitment as well as the long-term association between the halsey and the joanna foundation, the video cavern screening room has been named in honor of the joanna foundation. School of professional studies prudential financial gave $10,000 to the school of professional studies to help underwrite the veteran's day event, which includes military and veterans career workshops and a hiring event for the college's veteran and active military students. School of languages, cultures, and world affairs the samuel freeman charitable trust continued its support of the efforts of the school of languages, cultures, and world affairs to be the international hub for the college. The trust's recent commitments support the international scholars program, global fluency exchange (gfe) and distinguished scholar in global policy. The gfe will be the center-point for international experiential learning required to fulfill the college's and lcwa's mission by connecting our students with opportunities to involve themselves in thinking about and working on real-world challenges both within our community and abroad. The distinguished scholar will attract a renowned expert in global policy to visit the college. Anita zucker pledged $500,000 to create an endowed fund to provide an annual award for students in the perlmutter fellows program. The award is used for summer research, study abroad and other experiential learning opportunities. Athletics gregory j. Pryor and ann pryor established the first-ever endowed program fund for the baseball team through an estate gift. The unrestricted fund will support travel, competition and practice expenses as well as facilities needs. Susi beatty '86 continued her annual support of the susi beatty big cat scholarship with a gift of $100,000. The scholarship is for student-athletes who participate in men's and women's basketball and softball. The college of charleston friends of the library's mission is to advance intellectual and cultural excellence on our campus and throughout the community. Part of that mission includes enhancing the holdings in special collections at the marlene and nathan addlestone library. Special collections is comprised of rare and valuable books, manuscripts, and other collectibles that support research by students, faculty, and visiting scholars. In recent years, special collections staff identified several significant titles that would be strategic acquisitions to current collections. The staff was able to secure these acquisitions and to date all have been used by students or faculty for research papers as part of several academic courses taught at the college of charleston. These acquisitions would not have been possible without private support. The impact of these titles on the entire campus and the community is endless and immeasurable. In time, with support of the friends of the library, the staff in special collections hopes to continuously grow the collections in the same manner.
