Governance Explanations

Form 990, Part VI, Section B, Line 11B

Women first has its form 990 prepared by an outside accounting firm. When the form 990 has been prepared, reviewed by executive director and audit committee and is ready to be filed with the internal revenue service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

Women first presents its conflict of interest policy each year at its annual meeting to all board and committee members. All board and committee members are required to sign and return women first's conflict of interest policy each year that runs april through april. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governance board delegated power considering the proposed transaction or arrangement. Members of the board must also recuse themselves from voting if/when a conflict is present. After disclosure of the financial interest and all material facts, and after any discussion with the interest person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The policy is applicable to board officers, director, and employees. At the start of each calendar year, the staff reviews the requirement and collects the signatures on the forms. When a conflict is declared, the interactions and decision making of each party is monitored. If applicable, parties would recuse themselves from related decisions.

Form 990, Part VI, Section B, Line 15A

Women first used the following process for determining the compensation for the executive director: the executive committee is charged with the responsibility to prepare executive director compensation recommendations for discussion and approval by the full board. To prepare recommendations for executive director compensation, the executive committee reviewed the executive director's self-performance report and asked all board members to complete questionnaires. Staff and women first principal contractors also completed short questionnaires. Finally, the board consulted the 2019 nonprofit salaries and staffing trends report for greater new york city area nonprofits from pnp staffing group. Using this information, the executive committee met to review the materials and provided specific recommendations on the executive director's 2020 compensation for the board's consideration. During the executive session of the october 2019 board meeting, the full board discussed the written recommendations of the executive committee and voted on the 2020 compensation for the executive director.

Women first provides flexible funding over a six-year partnership to local grassroots organizations that improve the lives of women, girls and trans people by changing their economic futures. Our grants and partnerships sustainably change the lives of women, girls, trans people, and their communities.

Women first, inc. Has a committee that assumes responsibility for oversight of the audit of its financial statements and selection of an independent accountant. This process has not changed from the previous year.

Financial Statement Notes

PART V, LINE 4:

The fund invests its endowment funds and allocates the related earnings for expenditure in accordance with the total return concept. The endowment usage is determined in accordance with the policy adopted by the fund. The board utilizes various spending methods to determine its annual drawdown from the endowment funds as follows: drawdowns from the virginia frese palmer board designated and donor restricted funds are made in accordance with the fund's spending policy. All other drawdowns are made at the discretion of the board.

PART X, LINE 2:

The fund recognizes the effect of income tax positions only when they are more likely than not to be sustained. Management has determined that the fund had no uncertain tax positions that would require financial statement recognition or disclosure. The fund is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to december 31, 2017.
