Governance Explanations

Form 990, Part VI, Section A, Line 7B

The mary greeley medical center board of trustees approves any changes to the mary greeley medical center foundation's bylaws.

Form 990, Part VI, Section B, Line 11

A draft copy of the form 990 was reviewed by the executive director with the external accountants and a copy provided to the audit committee for review. A final copy of the form 990 was provided to the foundation board of directors for the board meeting prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Each board member annually completes a governing body questionnaire to identify any conflicts of interest: transactions with the organization or any relationships with other board members. In addition, at the beginning of each board meeting, the board president reviews the conflict of interest policy and notes any conflicts. The board member(s) with a conflict of interest will recuse themselves during discussion of these matters and abstain from voting.

Form 990, Part VI, Section B, Line 15

Compensation of the executive director is determined by mary greeley medical center. Mary greeley medical center determines compensation based on aggregate data collected from six or more salary surveys. Survey data is compiled and benchmarked against existing pay ranges on an annual basis. The last salary benchmarking was completed in 2016.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and audited financial statements available to the public upon request.

Form 990, Part VII and Schedule J

The executive director and vice president and cfo of the mary greeley medical center foundation (foundation) are employed by an affiliated but unrelated organization, the mary greeley medical center (medical center). The executive director's time is dedicated 75% to the foundation and 25% to the medical center as director for external relations. The vice president and cfo of the foundation is also vice president and cfo of the medical center and operates in a volunteer capacity for the foundation.

Form 990, Part VIII, Line 1H and Schedule B - Contribution Revenue

Mary greeley medical center foundation utilizes the accrual method of accounting for its audited financial statements. On the financial statements, the foundation records contributions when the contribution is deemed unconditional. Therefore, pledged contributions are included in contribution revenue on form 990, part viii, line 1h. However, schedule b has been prepared using the cash basis.

PART X, LINE 2:

The internal revenue service has recognized the foundation as exempt from income taxes under internal revenue code section 501(c)(3). The foundation files a form 990 (return of organization exempt from income tax) annually. When the returns are filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the tax position taken or the amount of the position that would ultimately be sustained. Examples of tax positions common to nonprofit organizations include such matters as the following: the tax exempt status of each entity and various positions relative to potential sources of unrelated business income (ubi). Ubi is reported on form 990t, as appropriate. The benefit of a tax position is recognized in the financial statements in the period during which, based on all available evidence, management believes that it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions are not offset or aggregated with other positions. Tax positions that meet the "more likely than not" recognition threshold are measured as the largest amount of tax benefit that is more than 50% likely to be realized on settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for uncertain tax benefits in the accompanying statement of financial position along with any associated interest and penalties that would be payable to the taxing authorities upon examination. As of june 30, 2016 and 2015, there were no uncertain tax benefits identified and recorded as a liability. The form 990 filed by the foundation is subject to examination by the internal revenue service (irs) up to three years from the original due date or extended filed date whichever is later for each return. The form 990 filed by the foundation is no longer subject to examination for the years ended june 30, 2012 and prior.
