Nrhs has members who elect the president, vice president and board of directors by mail. The secretary and treasurer are elected by the board of directors.

Form 990, Part VI, Section A, Line 7A

Nrhs has members who elect the president, vice president and board of directors by mail. The secretary and treasurer are elected by the board of directors. The board of directors meets no more than three times a year. An executive committee of the board of directors is empowered to provide the full board of directors action, counsel and guidance to the officers of the society on urgent matters between meetings of the full board of directors. The authority of the executive committee is limited to actions such as approval of contracts and legal actions, major changes to budgets and convention arrangements and is required to report its actions to the full board of directors. The executive committee consists of five members of the board of directors who have one vote each.

Any action of the board of directors may be reviewed by the members as a whole at the society's annual meeting. In addition, any changes to the society's bylaws must be approved by the members at such a meeting.

Financial Statement Notes

PART X, LINE 2:

The society and the fund follow the standards for accounting for uncertainty in income taxes according to the principles of fasb asc 740, income taxes, which prescribes a recognition threshold and measurement attribute for the consolidated financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. It requires management to evaluate tax positions taken by the society and the fund, including whether the entity is exempt from income taxes. Management evaluated the tax positions taken and concluded that the society and the fund had taken no uncertain tax positions that require recognition or disclosure in the consolidated financial statements. With few exceptions, the society and the fund are subject to income tax examinations by the u.s. Federal, state, or local tax authorities for the preceding 3 years, generally 3 years after the forms have been filed.

ORGANIZATIONS CAN REQUEST GRANTS UP TO $5,000. HIGHER AMOUNTS MAY BE REQUESTED ON A CASE BY CASE BASIS NOT TO EXCEED $15,000. ORGANIZATIONS THAT ARE INTERESTED IN APPLYING FOR GRANTS MUST COMPLETE AND SUBMIT AN APPLICATION. APPLICATIONS FOR GRANTS MAY BE SUBMITTED BY NRHS CHAPTERS AND BY ENTITIES WHICH ARE NOT CHAPTERS. APPLICATIONS FROM AN NRHS CHAPTER OR APPLICATIONS SUPPORTED BY AN NRHS CHAPTER ARE GIVEN SPECIAL CONSIDERATION, AND, IF TWO APPLICATIONS ARE OF EQUAL MERIT AND ONE IS FROM A CHAPTER, THE APPLICATION FROM THE CHAPTER WILL BE GIVEN PREFERENCE FOR AN AWARD. AN ENTITY MAY RECEIVE GRANTS IN TWO (2) CONSECUTIVE YEARS, BUT THEN MAY NOT APPLY AGAIN UNTIL A YEAR HAS PASSED. ENTITIES APPLYING MUST BE QUALIFIED AS 501(C)(3) ORGANIZATIONS. UPON SELECTION, THE APPLICATION WILL BE FORWARDED TO COUNSEL FOR REVIEW AND APPROVAL SIGNATURE AND TO TREASURER FOR DISBURSEMENT OF FUNDS. ENTITIES RECEIVING A GRANT ARE EXPECTED TO MAKE ANNUAL REPORTS ON PROGRESS MADE ON THE PROJECT FOR WHICH A GRANT WAS RECEIVED. THE NRHS HERITAGE GRANTS COMMITTEE'S PRIMARY CONCERN IS THE QUALITY AND HISTORICAL SIGNIFICANCE OF THE PRESERVATION PROJECTS PROPOSED IN THE APPLICATION AND THE ABILITY OF THE APPLICANT ORGANIZATION TO CARRY OUT THE PROJECT, INCLUDING THE HISTORICAL IMPORTANCE OF THE PRESERVATION PROJECT, THE APPLICANT'S ABILITY TO RAISE MATCHING FUNDS AND/OR TO PROVIDE VOLUNTEER LABOR, PLUS SUCH MATTERS AS THE PORTION THAT THE NRHS-FUNDED SEGMENT WILL CONSTITUTE OF A LARGER PROJECT AND THE ACKNOWLEDGMENT WHICH NRHS WILL RECEIVE FOR ITS CONTRIBUTION. BECAUSE OF LIMITED FUNDING AVAILABLE NRHS DISFAVORS PARTICIPATION IN LARGE PROJECTS. PROJECTS HAVING REVENUE PRODUCTION AS A MAJOR PURPOSE ARE ALSO DISFAVORED.
