Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by a third party accounting firm and reviewed in detail by the director of finance and the finance committee chair. The public disclosure copy of form 990 is provided to board members prior to submission to the irs. The board does not review the complete 990 as it does not wish to electronically distribute the donor information contained in schedule b.

Form 990, Part VI, Section B, Line 12C

Annually officers, trustees and employees review the organization's conflict of interest policy, including definitions and examples of potential conflicts. Officers, trustees and employees are annually required to sign a statement that they have read the policy and understand it, are in compliance with it and will disclose any future potential conflict of interest in accordance with the policy. Whenever a conflict of interest arises, a trustee is required to give fair and full disclosure in sufficient time to allow proper steps to be taken to insulate the individual from influencing decisions relating to such conflict. Said trustee shall clearly disclose the nature of the conflict to the chair of the committee or the president of the board of trustees and refrain from voting upon the action. Conflicts are reviewed by the board of trustees and and/or all committees with board delegated powers. The restrictions imposed are determined at the time of conflict evaluation and are dependent upon the conflict.

The officers of the henry gallery association are compensated by the university of washington, not the association. The officers' salaries are set by the university, using comparability and market data. The university's policies are governed by state of washington policy. Any changes to compensation are made within the parameters of university policy.

Additional Explanations

FORM 990, PART 1, LINE 6:

Event volunteers assist with visitor coordination during special events. The volunteer board of trustees, along with its committees, provides guidance and oversight for the operations of the henry gallery association. There were 27 voting members of the board of trustees who donated their time to the organization. Hours are estimated based on duties performed. 3 event volunteers helped support the henry during fy24.

Financial Statement Notes

PART III, LINE 1A:

Collection items are not capitalized, whether acquired through donation or purchase. Donated collection items are not recognized in the statement of activities and changes in net assets. Purchases of collection items, whether acquired with funds with or without donor restriction, are recorded as nonoperating costs and accordingly, decrease net assets without donor restriction. Net assets with donor restriction are released when collection items are acquired with restricted funds. All purchased and donated collection items are transferred to the university, which owns the permanent collections of the gallery.

PART III, LINE 4:

The permanent collection is a distinct cultural asset supporting scholarship and the interests of the general public. It comprises over 28,000 objects, including significant holdings in photography, mid-19th to 21st-century painting, works on paper including european master prints, a textile and costume collection, and a growing body of works in new media formats. The collections' searchable online database, accessed through the henry's website, is designed to provide many points of entry to information and images associated with collections objects. Annually, our collections are accessed by approximately 3,400 researchers online. In addition, we host visitors in our eleanor reed collection study center, where students, scholars, and the public may view works of art from our permanent collection, free of charge.

PART V, LINE 4:

The henry gallery association (the henry) intends to use unrestricted endowment fund distributions to support operations and to use restricted endowment fund distributions on the related restricted purpose. The henry's endowment fund is managed by the university of washington's consolidated endowment fund (cef). Distributions are made in accordance with the spending policy set by the board of regents. The spending and investment policies of the cef attempt to provide a predictable stream of funding while seeking to maintain the purchasing power of the endowment assets. The spending policy is set at 4% of a five year moving average market value.
