“Membership in the american society for mass spectrometry is open to any individual, or with approval of the board of directors, and to any corporate entity with a bonafide interest in mass spectrometry.”

“The governing board is elected by a general vote in which all members are invited to vote through an independent online voting process. An independent nominating committee selects two candidates for each vacant position up for election to the board of directors. All those who have paid membership dues for the current calendar year are eligible to vote.”

“The asms 990 documents are completed by a cpa at the conclusion of a detailed annual audit of the organization's financial records. The full audit is circulated to the asms board of directors and it is reviewed at the annual or august meeting. The form 990 is reviewed by the president, treasurer, executive director and the organization's bookkeeper. It is signed by the treasurer.”

“Asms avoids even the appearance of impropriety with regard to conflict of interest. If a situation arises in which an asms board member is affiliated with individuals and businesses that provide goods and services to asms or is involved some other potential conflict of interest, the following procedures apply. It is the responsibility of the board member to: 1.identify the potential conflict of interest. 2.not participate in discussion of the program or motion being considered. 3.not vote on the issue. It is the responsibility of the board to: 1.only decide to hire or contract with the board member if they are the best qualified individuals available, and willing to provide the goods or services needed at the best price. 2.record in the minutes of the board meeting the potential conflict of interest, and the use of the procedures and criteria of this policy.”

“Asms contracts a management company to provide administrative services under the direction of the board of directors. The management contract is subject to renewal every five years. The renewal is reviewed and approved by vote of the asms board of directors. A representative of the management company holds the title of executive director; however, this person receives no direct compensation from asms. The salary and benefits for the executive director are paid by the management company. Line 15 b is not applicable.”

“Asms makes its governing documents, conflict of interest policy, and financial statements available to the public by email or fax upon request.”
