“Osurf's certificate of incorporation declares there are 4 members of the organization. These persons are appointed as members of osurf by virtue of the office they hold at oklahoma state university. These standing members of osurf include the following officers of the university: president, provost and senior vice president of academic affairs, senior vice president of administration and finance, and the vice president of research. These standing members, in addition to the president of the osurf, compose of up to five of the directors of osurf. At the annual meeting, the members elect four at-large directors, based on nominations from the president of the university and the president of osurf. In addition to electing the directors of osurf, the members have the power 1)to make amendments to the certification of incorporation, 2)to determine the number which shall constitute the board, 3)to designate classes of directors, 4)to remove the entire board of directors or any individual director with or without cause, and 5)to vote on all matters where the authorization or approval of the members are required by the certificate of incorporation, the bylaws, or state law.”

“Osurf does not have ny committee with authority to act on behalf of the governing body. As such, no committee meeting minutes or other documentation have been required.”

“The organization engages a paid preparer experienced in the preparation of form 990 to prepare the form 990 tax return. Management and the executive board members will review the return as prepared by the preparer. An electronic copy of the final form 990 is then emailed to the board of directors for their review and comments prior to filing.”

“The organization is affiliated with oklahoma state university. Although the organization has not adopted its own conflict of interest, whistleblower, or document retention policies, it follows the policies of oklahoma state university, which does have detailed written policies regarding those.”
