Annually the members within memspa, including officers, board of driectors, and persons employed (including regular employees and contractors), are required to sign a conflict of interest form. Additionally, all real or perceved conflict of interest will be brought to the attention of the level of authority necessary for consideration, resolution, and direction.

Salary studies are obtained either from the national association of elementary principals or the michigan society of association executives for comparison of the executive director's salary to others in his field and geographical area. Then the salary is negotiated with the president, president elect, and past president based primarily on memspa's financial situation, since the executive director's salary is generally lower than the industy average.

Financial Statement Notes

PART X, LINE 2:

Federal tax law provides tax benefits to nonprofit organizations recognized as exempt from federal income tax under section 501(c)(5) of the internal revenue code (code). The code requires that tax-exempt organizations must comply with federal tax law to maintain tax-exempt status and avoid penalties. As an exempt organization as described in section 501(c)(5) of the code, michigan elementary and middle school principals association, inc. Is only subject to tax on unrelated business income as defined by section 509(a)(1) of the code. The association has no unrelated business income for the year ended june 30, 2015. Accordingly, a provision for income taxes has not been made on the consolidated financial statements. The amount of income tax benefit that may be disallowed by the internal revenue service (irs), if any, cannot be determined at this time although the association's management expects such amounts, if any, to be immaterial. Interest and/or penalties on an amount of income taxes deemed underpaid, if any, will be classified as income taxes in the consolidated financial statements. The association has not recognized any interest or penalties payable in the consolidated statement of financial position as of june 30, 2015, or interest or penalties expense in the consolidated statement of activities for the year then ended. The association is subject to irs and state examinations for a period of at least three (3) years after the form 990 has been filed.
