Charles of borromeo-scalabrinians, ratify the annual planning and related budget approved by the board of trustees, approves the appointment of the executive director as recommended by the board of trustees, and makes any amendments to the organization's by-laws.

The conflict of interest declaration is signed annually by board members. Signed declaration forms are collected by a staff member appointed by cms's secretary. If any board member reports a potential conflict of interest, the appointee informs the secretary accordingly. Prior to board action on a contract or transaction involving a conflict of interest, a member having a conflict of interest and who is in attendance at the meeting discloses all facts material to the conflict of interest. Such disclosure is reflected in the minutes of the meeting. A member who has a conflict of interest does not participate in or is permitted to hear the board's discussion of the matter except to disclose material facts and to respond to questions. A member who has a conflict of interest with respect to a contract or transaction that will be voted on at a meeting is not counted in determining the presence of a quorum for purposes of the vote. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken, unless the vote is by secret ballot.

The board of trustees solicited information on comparable salaries using the 990 returns of similar organizations, and reviewed and approved the budget that included the ed's compensation. The last time a review of the executive director's compensation including comparable data was performed was in march 2019.

In 2020, cms experienced a decrease in total grants and contributions, which it attributes to multi-year restricted grants it received in 2019, pledges recognized in earlier years, and, to a lesser extent, the impact of covid-19 pandemic on its annual gala. Cms anticipates receiving additional funding to support its services and overall mission in the coming years.
