“Conflicts due to business relationships are documented on dislosure form. Each director is expected to self-report conflicts of interest that might affect topics coming up for vote, and to abstain from such votes. The chairman of the board of directors enforces the policy.”

“Annual performance reviews compare performance to requirements of job descriptions and agreed upon and documented goals established at the beginning of the appraisal period. For management other than the ceo, recommendations for salary increases are submitted by ceo after review against comparability data and then reviewed by cfo against comparability data and available compensation pool. For the ceo's salary, the cfo submits to the board's compensation committee historical salary data and performance bonus history as well as benchmark salary surveys that are pertinent. A study typically used for this purpose is done by the american chamber of commerce executives which gives benchmarks for chambers based on community size and revenue levels. The ceo meets with the compensation committee to discuss accomplishments and atainment of benchmarks that were set. After meeting with the ceo, the committee separately reviews all information to determine the salary to be awarded.”

Financial Statement Notes

PART IV, LINE 2B:

“Chattanooga chamber foundation acts as agent of the center for entrepreneurial growth initiative for hamilton county, tennessee and holds funds totaling $14,841 as of june 30, 2019. Funds are released for operating expenses under county authorization on a monthly basis. Chattanooga chamber foundation also holds certain other deposits for other organizations under a similar arrangement. Those funds total $1,299 as of june 30, 2019. Security deposits related to lease agreements totaling $40,550 are held in escrow accounts against damages to leased properties.”

PART X, LINE 2:

“The foundation follows statutory requirements for its income tax accounting and generally avoids risks associated with potentially problematic tax positions that may be challenged upon examination. Management believes any liability resulting from taxing authorities imposing additional income taxes from activities deemed to be unrelated to the foundation's non-taxable status would not have a material effect on the foundation's financial statements. With few exceptions, the foundation is no longer subject to tax examinations by tax authorities for years before 2016.”
