Mission

Mountaineers foundation is dedicated to passing the best possible environmental legacy to ensuing generations. The foundation, working through our volunteer board, serves those who are committed to the responsible stewardship and active enjoyment of the beauty and diversity of our natural resources. The foundation promotes the long view of stewardship by building and maintaining strong relationships with both donors and grantees based on mutual trust and openness.

Pass the best possible environmental legacy to ensuing generations by responsible stewardship and enjoying the beauty and diversity of natural resources.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The articles and bylaws were updated in june of 2014 to remove the word "the" from the organization's name, to change the title of the voting governing board from "trustee" to "director" and to amend the number of voting board members from between 5 and 15, up to between 9 and 25. In addition, they added a requirement that officers must also be directors, and clarified the definition of a quorum. In 2015, an amendment was made to increase the duration of term for president from 3 years to 6 years.

Form 990, Part VI, Section A, Line 6

The organization has some individuals who were granted "life member" status prior to december 31, 1996. No other individuals have been granted life member status, other than those individuals grandfathered in prior to december 31, 1996. These are the only members of the organization.

Form 990, Part VI, Section A, Line 7A

The grandfathered members have the right to vote for officers and board members although none of these members currently actively participate in electing or appointing officers or directors. There are fewer than 10 members who have these grandfathered life member voting rights.

A draft copy of the form 990 is provided to all board members before it is filed. The executive committee is expected to review for accuracy and provide input before it is filed. The final version is presented to the executive committee and the board before it is filed.

Form 990, Part VI, Section B, Line 12C

The board reviewed and adopted the conflict of interest policy during 2014. Each board member is covered by the policy and is required to read the conflict of interest policy annually and sign it. Should a potential conflict of interest arise, the issue would be brought to the president and then reviewed by the board. If necessary the individual involved would recuse himself/herself from discussing or voting on the matter.

Additional Explanations

FORM 990, PART I, LINE 6:

There were 17 volunteer board members, and an additional small group that volunteers their time on our property. Most volunteers average 2-5 hours per week, although there are a few board members who volunteer between 6 and 10 hours per week. Volunteer service includes serving on the board, grant-screening, taking care of the rhododendron preserve, and working with other organizations for cooperative use of our property.

FOR OVER 20 YEARS, THE MOUNTAINEERS FOUNDATION HAS BEEN THE OWNER AND STEWARD OF THE RHODODENDRON PRESERVE, A 386 ACRE NATURE CONSERVANCY, IN KITSAP COUNTY IN WASHINGTON STATE. THE PRESERVE IS HOME TO THE LARGEST NATURAL CHUM SALMON RUN ON SOUTHERN PUGET SOUND AS WELL AS THE ASSOCIATED RIPARIAN LANDS AND ECOSYSTEM. THE PRESERVE IS CENTERED ON THE CONFLUENCE OF WILDCAT AND LOST CREEKS AND PROTECTS THE MAIN STEM OF CHICO CREEK. THE MOUNTAINEERS FOUNDATION IS ACTIVELY SUPPRESSING NON-NATIVE INVASIVE PLANT SPECIES AND EXPANDING BUFFER PROPERTIES TO PROTECT THE CORE OLD GROWTH HABITAT IN THE PRESERVE. THE MOUNTAINEERS FOUNDATION SUPPORTS EDUCATIONAL USES OF THE PRESERVE INCLUDING GRADUATE STUDIES, PUBLIC AND PRIVATE SCHOOL FIELD TRIPS AND SALMON HABITAT HEALTH MONITORING BY TRIBAL AND GOVERNMENT AGENCIES. THE RHODODENDRON PRESERVE IS A UNIQUE LARGE AND UNSPOILED EXAMPLE OF PUGET SOUND LOWLAND FOREST: WHAT THE LAND WAS LIKE BEFORE THE COMING OF EUROPEANS.
