Grande ronde hospital is the sole member of grande ronde hospital foundation. Grande ronde hospital, inc.'s board of trustees has the authority to elect one or more members of the governing body of grande ronde hospital foundation.

Grande ronde hospital, inc. Shall appoint one member of the governing body of grande ronde hospital foundation and approve the remaining board members nominated by the foundation board members.

A copy of the form 990 and all attachments is provided to the foundation's governing board and hospital ceo and cfo who review the form, schedules and related attachments. Any comments or questions are addressed with the preparer. Once the reviewers are satisfied with the form 990, the preparer is authorized to finalize the return.

Officers and directors are required to complete a statement identifying any possible conflicts of interest each fiscal year. The forms are reviewed by the parent corporation's (grande ronde hospital's) compliance officer and/or the grh board of trustees, who then determines if a conflict of interest actually exists. If a conflict of interest is determined to exist, a disinterested person or committee is appointed to investigate alternatives to the business transaction arrangement. If a reasonable alternative is not available, a decision is made as to whether the arrangement is fair and reasonable and in the corporation's best interest, and, therefore, whether or not to enter into the business transaction in conformity with such determinations.

The hospital, foundation, and auxiliary are organized as oregon nonprofit corporations and have been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(c)(3) of the internal revenue code (irc). The hospital, foundation, and auxiliary are annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, they are subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. Similarly, the hospital, foundation, and auxiliary are exempt from state income taxes under similar provisions of state laws.
