Once, in at least four meetings, the executive committee shall meet in executive sessions, without the presence of any individual who is not a member of the executive committee and without the presence of the president/ceo, but with the presence of the general counsel.”

The process was documented in contemporaneous written minutes detailing the analysis and basis for the compensation determination. This process recently took place in 2024. The process described here was last completed in 2024.”
