“The executive committee is composed of the president, president-elect, vice president, secretary, and treasurer. It is the duty of the executive committee to transact such emergency business as arises between the regular meetings of the board of directors and to report any action to the board of directors at its next meeting. There were no executive committee meetings held in fy24.”

“The organization has three types of voting member, herein the members. The type of members are: active members, life members and retired members. Active members: every legally registered dentist practicing in the territory shall be eligible for membership as an active member by virtue of his or her membership in a local society. Life members: life membership shall be granted to any members who shall fulfill the requirements of the american dental association (ada) and/or the pennsylvania dental association (pda) for life membership. Retired members: an active member of the association, upon his or her election to retired membership by the ada and the pda, shall automatically become a retired member of the association.”

“The voting board of directors shall be comprised of the executive committee and the district directors. These positions are elected from within the membership as follows: the executive committee is comprised of the officers of the association. The members in good standing elect from within the membership individuals to serve in any vacant officer positions not covered by succession rules. The district directors shall be elected by the local societies in accordance with their by-laws and the by-laws of the association. Each district director shall serve for a term of two years.”

“The form 990 is prepared by an independent accounting firm with information provided by management. Management and the board president review the return prior to filing with the internal revenue service.”

“The conflict of interest policy applies to all board and committee members of the association. If any individual believes that he or she may have a conflict of interest, the individual shall promptly and fully disclose the possible conflict to the board and shall refrain from participating in any way or in any manner in which the possible conflict relates until and unless any such possible conflict has been satisfactorily resolved. The board makes the final decision as to whether a conflict exists and what action, if any, is needed. A conflict of interest acknowledgement must be signed annually.”

“The governing documents and conflict of interest policy are made available upon request. The association does not issue formal financial statements.”
