The audit committee would make the decision as to whether a conflict exists. If a conflict were to arise, the person(s) in conflict would abstain from any deliberation or vote related to the matter in conflict and/or be removed from their position at ihp. The policy includes a provision requiring that any potential conflict be immediately disclosed. In addition, all those covered by the conflict-of-interest policy annually complete a conflict-of-interest disclosure form and sign a copy of the conflict-of-interest policy.”

When a transaction involves a "disqualified person", defined as any individual who can exercise substantial influence over the affairs of the corporation at any time during a five (5) year period, it must undergo additional review and analysis. The board shall use comparability data prior to the approval of any compensation arrangements. The data shall include but is not limited to industry surveys, documented compensation of people in similar positions in similar organizations, or compensation studies. It is the responsibility of the board to adequately document, preferably in the form of minutes, the basis for its determination. This documentation must be concurrent with the decision and shall be created no later than 60 days after the compensation approval.”
