All the cities and home rule municipalities of the commonwealth of pennsylvania which are definded by the laws of said commonwealth shall be eligible for full membership.

Form 990, Page 6, Part VI, Line 7A

The board of directors shall consist of members in good standing, namely: the officers of the league, a president, first vice president, second vice president (elected at the regular annual meeting), and executive director as secretary/treasurer; six (6) district directors, namely one (1) elected by each of the six (6) district directors of the league; at the discretion of the officers and by ratification of the board of directors no more than eight (8) nor less than four (4) at-large directors elected by the delegates assembled at each annual convention of the league or appointed by the board of directors; and the appointed directors, namely the chair and co-chair of the legislative committee (who shall not be the president or first vice president) and the chair of the home rule network appointed by the president; the mayors, or their appointees, of municipalities of 70,000 in population or greater and past presidents, at their option, who are elected officials of a member municipality. Additionally, any municipal official who is a member of the board of directors or advisory council following completion of his/her term on the board of directors of the national league of cities shall serve as a member and any chief appointed official, subject to the limitations as set forth herein, shall be eligible to serve as a member. Each member municipality registered at the annual convention shall be entitled to representation at the annual convention by its elective and appointive officers and employees. At the annual convention each member municipality shall be entitled to one vote by its legislative body, except in a mayor-council form of government where the delegate shall be appointed by the mayor. Upon the request of one third (1/3) of the certified delegates present and voting at the annual business meeting, a weighted vote shall be taken in accordance with the weighted voting system. 60,000 or above: 8 votes 55,000 - 59,999: 7 votes 50,000 - 54,999: 6 votes 40,000 - 49,999: 5 votes 20,000 - 39,999: 4 votes 10,000 - 19,999: 3 votes 5,000 - 9,999: 2 votes 1,500 - 4,999: 1 vote

Form 990 is prepared by the league's independent accounting firm with the assistance of the league's management. It is then provided by e-mail to the full board for its review. The full board will be given three days to respond with questions or changes.

To set the base salary of the executive director, the executive committee reviews salaries of comparable positions in the industry. Also, an evaluation is completed yearly by the executive director and reviewed with the executive committee who sets the percentage increase the executive director would receive.
