The organization is a Pennsylvania nonprofit nonstock corporation that has one member named Catholic Housing and Community Services which is itself a Pennsylvania nonprofit corporation.

Form 990, Part VI, Section A, Line 7A

The sole member of the organization has three members. The members shall consist of those natural persons who are, from time to time, the incumbents of the following offices of the Archdiocese of Philadelphia: the Archbishop of Philadelphia, the Moderator of the Curia, and the Vicar for Clergy. These members have power to elect all Directors to the Board of the Corporation.

Decisions of the organization's governing body, such as the decisions to dissolve, merge, and make fundamental changes involving the organization are, as stated in the organization's bylaws, subject to approval of the members of the corporation.

The organization's Form 990 is prepared by the organization's accounting staff and reviewed internally by members of the organization's management staff. The 990 is prepared directly from the board approved issued audits for the respective year. The submitted 990 is them made available to the board of directors.

The organization regularly and consistently monitors and enforces conflicts with its conflict of interest policy by distributing the policy annually to all required to report conflicts pursuant to the policy, and requiring those individuals to complete and file with the organization a conflict of interest reporting form. The annual disclosure statement shall also recite that the person has received a copy of the conflict of interest policy and has reported any actual or potential conflicts of interest. Independent of filing the annual disclosure statement, all persons required to report shall disclose, as applicable, the existence and nature of any actual or potential conflicts of interest.

As part of the annual budget approval process, management reviews market data collected for various positions and salary compensation ranges for each position as established. A person's annual percentage increase in compensation is the same as that given to all persons in a particular position as approved by the Board of Directors. In addition, a market rate adjustment, if warranted, is approved as part of the annual budget review by the Directors. Any increase above the approved percentage is considered an exception subject to approval by the Secretary of Catholic Human Services of the Archdiocese of Philadelphia.
