Governance Explanations

In 2025, the Board of Directors of Moravian Management Inc revised its bylaws to bring update its internal controls and oversight obligations. The bylaws re-affirmed that all assets and activities of the Organization will be held for charitable purposes as designated by its IRS Exemption and no monies will be used to enure private individuals.

The Board Chair completes the annual tax return and submits the return to the Board of Directors for review and comment. If there are no objections from the Board, the tax return is submitted as final to the IRS by the Board Chair.

Form 990, Part VI, Section B, Line 12C

Board Members are required annually to submit a conflict of interest form to the Board Chair. The Board Chair reviews the conflict of interest policies and if there is a conflict, the Board Chair assesses the materiality of the conflict and if it is deemed significant, the Board Member will be asked to refrain from the transaction, or potentially resign from the Board.
