Mission

The gettysburg foundation is a non-profit educational organization working in partnership with the national park service to enhance preservation and understanding of the heritage and lasting significance of gettysburg. In addition to operating the gettysburg national military park museum and visitor center, the foundation has a broad preservation mission that includes education, land, monument and artifact preservation and battlefield rehabilitation - all in support of the national park service's goals at gettysburg.

The form 990 is made available for review by the board of directors and is reviewed and approved by the audit committee before it is filed.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to the foundation directors, officers, and management employees. All related parties are required to disclose those relationships maintained by them with organizations that do business with the foundation or which otherwise could be construed to potentially affect their independent, unbiased judgement in light of their decision-making authority or responsibility. In the event that a related party is uncertain as to the appropriateness of disclosing a particular relationship, the chair of the board of directors or the president should be consulted. They in turn may consult with legal counsel, the executive committee, or the board of directors. Directors or officers who have declared or been found to have a conflict of interest with respect to a matter shall refrain from participating in consideration of the matter, unless for special reasons the board of directors requests information, interpretation, or other participation. Persons with such conflicts shall not vote nor be present at the time of vote.

Form 990, Part VI, Section B, Line 15

The president's compensation is established/reviewed by the executive committee of the board using comparable data from similarly situated non-profits. The executive committee approves the compensation and it is included in the annual budget, which is approved by the board. Deliberations and decisions are documented. The compensation for other officers and key employees is also compared to positions at other similarly situated non-profits. Compensation for these positions are established/reviewed by the president and included in the annual budget, which is approved by the board.

Financial Statement Notes

PART II, LINE 9:

Net assets with donor restrictions include a scenic easement on 61 acres of land that is adjacent to the museum and visitor center. The purpose of the easement is to aid the foundation to preserve, protect, and maintain in perpetuity the residential or agricultural use and size of the property. This was received as an in-kind contribution from a donor and is based on the appraised value of $9,845,000 when it was transferred in 2009.

PART III, LINE 4:

The gettysburg museum holds artifacts from the civil war that are on display for the public. The museum also holds artwork depicting historical themes.

PART V, LINE 4:

The foundation has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowments, while seeking to maintain the purchasing power of the endowment assets. Endowment assets include those assets of donor-restricted funds that the foundation must hold in perpetuity or for a donor-specified period. Under this policy, as approved by the board of directors, the endowment assets are invested in a manner that is intended to produce results to allow the foundation to fund the appropriate programs while assuming a moderate level of investment risk. The approved spending rate is up to 5% per annum, but a higher rate or special withdrawal can be authorized by the board of directors.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america prescribe a recognition threshold and measurement attribute for financial statement measurement of the tax position taken or expected to be taken in a tax return and provides guidance related to classification and disclosure matters. Adjustments, if any, for uncertain tax positions would be recorded as a liability. Gettysburg foundation would also recognize accruals for interest and penalties related to uncertain tax positions in its interest expense. Management evaluated the tax positions taken and concluded gettysburg foundation has taken no uncertain tax positions that require recognition or disclosure in the financial statements. Therefore, no provision or liability for income taxes has been included in the financial statements. Gettysburg foundation files federal and various state income tax returns. With few exceptions, gettysburg foundation is no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for tax years before september 30, 2018.
