Form 990, Part VI, Section B, Line 12C

The conflict of interest policy shall be reviewed by the board annually for the information and guidance of members of the board and officers, and brought to the attention of new members of the board and officers. In this connection, the board shall, by resolution, adopt a statement of policy for distribution to such members and officers explaining the obligations of such individuals under applicable law.

Form 990, Part VI, Section B, Line 15

The chief executive officer completes a self-evaluation to reflect on performance and goals established in the previous review and goals for the coming year. The self-evaluation is forwarded to the board along with comments from board members on accomplishments of the ceo. The board establishes a pay range which reflects the pay for comparable positions in the market of the foundation. The board will evaluate the pay range at least once every three years through other non-profit compensation studies or a commissioned study. The board president will meet with the ceo to complete the review, agree on goals and advise the ceo of the compensation decision.
