The executive committee shall have the power to transact all regular business of the children's institute of pittsburgh during the period between the meetings of the board of directors, subject to any prior limitations imposed by the member or board of directors and with the understanding that all matters of major importance will be referred to the board of directors for approval, subject to the reserved powers of the member. Minutes of the executive committee meetings and reports of its actions shall be submitted to the board of directors and its actions shall be subject to ratification at the next regular board meeting.

The children's institute of pittsburgh recognizes that as part of the board of directors' governance role, they should review the irs form 990. The aforementioned review has been delegated by the board to the audit committee. The children's institute of pittsburgh (ci) along with ci's certified public accounting firm are responsible for the timely preparation of form 990. The audit committee of the board of directors reviewed the completed form 990 in advance of an audit committee meeting to enable a detailed conscientious review by committee members. The appropriate representatives of the certified public accounting firm and ci's chief financal officer addressed questions and concerns of the audit committee. After input from the audit committee was appropriately addressed, a complete copy of the return was provided to each member of the board of directors prior to filing with the service.

Form 990, Part VI, Section B, Line 12C

The children's institute of pittsburgh (ci) has a conflict of interest policy that is included in the code of conduct. This policy provides information to all directors, officers, employees, physicians and volunteers regarding requirements for disclosure and the subsequent corporate action required regarding such transactions. Ci, through its board of directors, believes it is essential that all such individuals fully and completely understand the responsibilities the individual has regarding potential conflicts of interest. Ci also believes that it is very important that all such individuals understand the procedures utilized by ci in dealing with potential conflicts of interest. This policy is intended to supplement but not replace applicable pennsylvania state law governing conflicts of interest applicable to nonprofit and charitable corporations. To the extent that this policy conflicts with the provisions of applicable pennsylvania law governing conflicts of interests, the applicable provisions of pennsylvania law shall govern and control. Each member of the governing body, employee and volunteer has an obligation to earn the trust and confidence of the organization's clients, the community and colleagues. Adherence to the principles set forth in this policy and the related documents referenced herein shall assist each in doing so. Members of the governing body, employees, and volunteers shall avoid all conflicts of interest and the appearance of any conflict of interest. A conflict of interest occurs in any situation in which one is potentially not able to remain impartial or maintain objectivity in choosing between the interests of the organization and one's personal interests or the interests of third parties.

The children's institute of pittsburgh prepares an annual report that contains its summary financials for public distribution. Headquartered in pittsburgh with satellite locations across western pa, it is one of the only organizations in the commonwealth of pennsylvania offering such a wide array of services including: autism services, outpatient physical and behavioral health services, early intervention, and child and family services. This unique, comprehensive approach sets the organization apart. In fiscal year 2024, we served 5,116 children and families and provided $7.4 million in uncompensated care. The children's institute of pittsburgh is committed to providing high quality, effective physical and behavioral health therapy services for children and young adults in our community. With three convenient locations in squirrel hill, bridgeville, and irwin, quality care is close to home for our patients and their families. Our professional team provides an array of outpatient services including nutrition support, occupational therapy, physical therapy, speech-language therapy, and behavioral health services, including an applied behavior analysis (aba) program that provides comprehensive and holistic services for children and young adults with autism between the ages of 18 months and 21 years old. Our aba services are focused on improving lives by empowering both the child and family through strategic interventions aimed at increasing communication and social skills while decreasing problematic behaviors that interfere with learning, social interactions, and overall quality of life. We continually advance our treatment methods by using new techniques, as well as new technology, to produce better therapeutic interventions for children. The children's institute of pittsburgh is also licensed by the pennsylvania department of public welfare as an adoption and private children and youth social service agency. With offices in allegheny, beaver, butler, washington, and westmoreland counties, the family support services team works to help children live in safe, nurturing "forever" families. In fiscal year 2024, 2,318 clients were served through intensive family support, family visitation and reunification, family recruitment, infant parent empowerment, and enrichment programming. As an affiliate member of the statewide adoption network (swan), the children's institute of pittsburgh maintains contracts with local, statewide, and out-of-state counties in the areas of placement services and family preservation/reunification services. The children's institute of pittsburgh also continues to offer a care coordination program, which operated in allegheny, washington, beaver, butler, and fayette counties. These county-referred programs provide support for infants, children with medical complexities, and individuals with substance use disorders. The early learning institute (teli) continued this fiscal year as an affiliate of the children's institute of pittsburgh as a nonprofit provider of early intervention services with more than 60 years of experience helping children with developmental delays reach their true potential. Teli provides therapeutic early intervention for children birth to age three and has helped countless families and their children achieve results by building their strengths and abilities. This affiliation provides an opportunity to leverage the children's institute of pittsburgh and the early learning institute's combined strengths, provide better access to care, and serve even more children and families across our region. The children's institute of pittsburgh fully absorbed these early intervention services within the current range of services provided and phased out the teli brand at the end of fy24. The children's institute of pittsburgh's relatively small size belies the scope and impact of the mission. The many services are inextricably related, thereby providing an unduplicated, comprehensive network of services unlike any other provider. The topic prescribes a minimum recognition threshold and measurement methodology that a tax position taken or expected to be taken in a tax return is required to meet before being recognized in consolidated financial statements. The organization's consolidated statements of financial position at june 30, 2024 and 2023 do not include any liabilities associated with uncertain tax positions; further, the organization has no unrecognized tax benefits. The organization is no longer subject to examination of its tax returns for years before 2021.

The children's institute of pittsburgh transferred its endowment to the children's institute foundation. There was a residual $8,485 in permanently restricted net assets remaining with the children's institute at the end of the year.
