“The members of allied services personal care, inc ("the corporation") shall be those persons serving from time to time as members of the executive committee of the board of directors of allied services foundation ("the foundation"), in each case to serve in such capacity at the discretion of the foundation, and subject to removal by the foundation at any time, with or without cause.”

“Allied participates in multiple regional salary surveys, two of which are the society of healthcare human resources of pennsylvania and the appalachian healthcare human resources society, to determine market competitiveness, and considers the external market as a factor in the job evaluation process. Then the compensation for officers and key employees is reviewed by a compensation committee of the board. Increases are recommended by the committee and approved by the board of directors based on the external surveys and internal reviews. This process is documented by the compensation committee and the board of directors. For all other employees, allied services follows an internal job evaluation process, administered by a cross divisional job evaluation team comprised of directors and assistant vice presidents. The job evaluation process is based on a fourteen point factor system and internal alignment within job classification.
