The chief executive officer of spiritrust lutheran, or his designee, shall serve as president of chambersburg housing and as a voting member of chambersburg housing's board of directors. The remaining members of the board shall be elected by the spiritrust lutheran's board of directors.

Without the written consent and approval of the spiritrust lutheran's board of directors, chambersburg housing's board of directors may not: (a) initiate, cease, or significantly modify any fund-raising activities or plans for the solicitation of charitable contributions or for the solicitation or acceptance as a gift of any real property or interest therein (b) change the area served by chambersburg housing (c) borrow more than $10,000 under terms which provide for a repayment period in excess of three months (d) enter into any leases which would obligate chambersburg housing to make rental payments in excess of $5,000 per year (e) purchase insurance policies (f) undertake any capital expenditures in excess of $50,000 and any capital expenditures involving related projects which, in the aggregate, exceed $50,000 (g) amend chambersburg housing's articles of incorporation (h) initiate, cease, or significantly modify any of chambersburg housing's lines of service, products or programs (i) sell, relinquish, or otherwise authorize a change in control of more than 30% of the assets of chambersburg housing (j) select, remove or replace independent accountants and auditors for chambersburg housing (k) authorize fundamental changes to chambersburg housing, including adoption of a plan of dissolution of chambersburg housing; the adoption of a plan of merger, consolidation, division, conversion or affiliation with any other entity; and change to chambersburg housing's current corporate organizational structure (l) authorize and designate officers of the corporation to execute a deed of assignment for the benefit of creditors; file a voluntary petition in bankruptcy; file an answer consenting to the appointment of a receiver; or file an answer to an involuntary petition in bankruptcy (m) organize or acquire a subsidiary or affiliate

Chambersburg housing annually requires its board members, officers, and key employees to complete a conflicts of interest form, which is kept on file by the organization. During board meetings, if an interested party has a conflict, he/she recuses themselves from voting. If conflicts are made known with other employees in the organization, a plan is developed for that employee to avoid influencing decision making in the area of conflict. This plan is developed by the employee's manager and approved by the department director. This plan will be agreed upon by the employee and monitored by the manager.

Chambersburg housing's ceo is paid by spiritrust lutheran. Spiritrust lutheran utilizes salary survey information to determine the compensation amounts of all employees within the organization, including the executive director and key employees. The salary survey information ensures that pay rates are competitive. Salary ranges for job classes are adjusted based on the salary survey information and then reviewed and approved by the board of directors. A budgeted merit increase percentage is also subject to board approval. The organization's compensation process takes place annually at the november board meeting and is noted in the minutes. An executive session follows the board meeting to discuss the annual evaluation and compensation increase for the executive director.

Financial Statement Notes

The corporation is a not-for-profit organization as described in section 501(c)(3) of the internal revenue code (code) and is recognized as tax exempt under 501(a) of the code. Accordingly, no provision for income taxes has been provided. Accounting principles generally accepted in the united states of america require the corporation to evaluate tax positions taken by the corporation and recognize a tax liability or asset if the corporation has taken an uncertain position that more likely than not would be sustained upon examination by the internal revenue services (irs). The corporation has concluded that as of december 31, 2024 and 2023, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or asset or disclosure in the financial statements. Generally, tax returns for years ended december 31, 2021, and thereafter remain subject to examination by federal and state tax authorities.
