Governance Explanations

Form 990, Part VI, Section B, Line 11

The form 990 is provided to the organization's board of directors before it is filed. Once the form is complete, board members are given the opportunity to review the contents of the form and submit any comments or questions. In addition, the form is reviewed by the health system's financial operations department leadership. An external cpa firm is engaged to review and electronically file the return.

Form 990, Part VI, Section B, Line 12C

The organization and all subsidiaries are governed by a conflict of interest policy, which has been approved by the health system's board. Under this policy, every board member is given a copy of the policy as well as a form that must be completed on an annual basis. No board member is approved or re-appointed until he or she has completed and signed the conflict of interest form. Once the form is returned, it is reviewed by the chs compliance officer and ceo. If any conflicts are disclosed, the details are forwarded to the board chair to be addressed. Depending on the conflict, the board member could be given certain restrictions, such as being prohibited from participating in certain board decisions. The chs audit and compliance committee has the final decision-making regarding all conflicts of interest. Throughout the fiscal year, board members must notify the board chair, compliance officer, and/or ceo if a new conflict has developed.

Form 990, Part VI, Section B, Line 15

Chs manages the determination of compensation for its executives as well as the executives of all its subsidiaries. The process is outlined in its by-laws. An outside consulting firm is utilized to ensure that executive compensation packages are fair and comparable with similar organizations. Chs has also established an executive compensation committee to review and recommend the compensation decisions made. This committee reports directly to the board.

During september 2014, the conemaugh health system was acquired by duke lifepoint healthcare.

FORM 990, PART III, LINE 4A (CONTINUED):

Screenings and support groups are an important part of the conemaugh health system's outreach efforts. This past year they included: continued partnership with the edwards life sciences corporation and the highmark foundation to provide a free cardiovascular and diabetes disease prevention program throughout local communities with an emphasis on diverse and underserved patients in rural areas which involved 10 locations and various screenings including blood pressure, body mass index, body fat analysis, blood work and vascular; a newly created cancer support group began meeting monthly to help patients with all types of cancer and their family and loved ones; car seat safety checks were held in partnership with the learning lamp organization, helping families obtain safe and appropriate car seats, while giving information on smoking cessation for those parents who smoke; mammography screenings and breast health and wellness fairs took place at several conemaugh health system sites including information for the public on mammography vouchers for the uninsured and underinsured; weight loss support group meets monthly for those struggling with weight issues and for those who have undergone weight loss surgery; free classes for employees and the public who want to learn ways to help quit smoking and using other tobacco products; heart month screenings included educational events, bone density screenings and abi (ankle brachial index) screenings; eighteen support groups are listed on conemaugh's webpage with regular meetings covering numerous topics including alzheimer's, brain injury and stroke, chronic pain and headaches, charcot marie tooth (cmt), epilepsy, hiv/aids, parkinson's disease, ostomy, substance abuse issues and suicide. The conemaugh.org website and social media efforts continue to be an important way to share health and wellness information with our community. Advancements in this area include: the followmyhealth patient portal was introduced to the community, allowing patients of conemaugh physician group to access their medical records online. The system also allows patients to view test and lab results, update allergy and medication information and request prescription refills and appointments. The marketing communications team unveiled a new online calendar. The calendar is more user friendly for both staff and the public and allows users to search by event type, audience and date. Conemaugh home health and conemaugh regional hospice unveiled a new system called "conemaugh homecare webchart" designed to reduce the paperwork involved with managing patients. The medical staff of conemaugh memorial is comprised of about 350 physicians representing numerous specialties. Conemaugh physician group (cpg) is a multi-specialty group of doctors with more than 120 physicians participating at sites conveniently located across five counties. Conemaugh physician group has expertise in numerous specialties, including family medicine, cardiology, neurology, cancer, surgery, and women's health. All primary care physician offices are connected to the conemaugh health system hospitals and physician specialist offices by an electronic medical record (emr) system. Chs is fortunate to have not only strong physician leadership but strong board leadership. The board is comprised of a wide variety of dedicated leaders representing diverse fields including area business leaders, educators, and physicians, both conemaugh physician group and independent. An active patient advisory committee contributes regular constructive criticism and feedback regarding various aspects of care delivery including way finding, marketing, and service excellence. In addition to the patient advisory committee at conemaugh memorial medical center, conemaugh miners medical center also now has a patient advisory committee in place. Chs also enjoys a healthy volunteer program, melding a diverse group of students from local high schools and colleges, mid-career vol

Community support continues to be a hallmark of the conemaugh health system. In the past year, more than $160,000 was given to support nearly 200 various community organizations. Support ranged from local baseball, softball and basketball teams to larger donations to support the american cancer society, the american heart association and alzheimer's foundation. Financial support was also given to community arts organizations, schools and other organizations which help boost the cultural richness of the area and help with the recruitment of new physicians and other staff to the conemaugh health system. In addition, chs provided free or discounted care for those who cannot afford to pay as well as free community health screenings, fairs and educational groups while providing funding for neighborhood improvement and economic development. Chs also makes a payment in lieu of taxes donation to support the city of johnstown, cambria county, and the greater johnstown school district. The conemaugh health system caring initiative has been in place for the past four years. One of the aspects of this initiative is the promotion of the area's get connected website. The united way and lift johnstown created the centralized get connected website as a place for individuals to go to find opportunities to volunteer in the community. The hope is that this website will become the "go to" place in the community for individuals to find opportunities to volunteer and give back! We encourage our employees to visit the site regularly to search for volunteer opportunities in the community. In addition, employee donations are collected each month for a different organization in the community in our caring boxes. The boxes are placed at various locations throughout the conemaugh health system. Items collected have included canned goods, pet supplies, personal hygiene products, toys for the holidays, winter coats and more. Other highlights of the past year, include hospice volunteers who broke records for the all-time high for hours of service and a new hope and healing at the holidays program was conducted by conemaugh regional hospice staff.

The w2s are filed by mmc (ein 25-0965307) on behalf of chs. All chs wages that are processed by mmc are reflected on the 990 as reportable compensation from chs.
