The finance department has management authority, but is comprised of contracted individuals working via a private consulting firm.

After review by organization's financial department and ceo, the form 990 is presented to the finance committee for review and edit. After the finance committee reviews and approves the form 990, the committee recommends the form 990 to the full board for review and approval. The form 990 is presented to the full board for review and approval before filing.

Form 990, Part VI, Section B, Line 12C

Each new board member and key employee and/or officer shall be required to review a copy of the policy and to acknowledge, in writing, that he or she has done so. Each board member and key employee and/or officer shall annually complete a disclosure form identifying any relationships, positions, or circumstances in which he/she is involved that he or she believes could contribute to a conflict of interest arising. Such relationships, positions, or circumstances might include service as a director of or consultant to a not-for-profit organization, or ownership of a business that might provide goods or services to ppc. The board member or key employee and/or officer should also disclose to the board of directors any potential conflict of interest that may arise during the course of the year between the submissions of annual disclosure forms. Any such information regarding business interests shall be treated as confidential and shall generally be made available only to the chair, the president and chief executive officer (ceo), and any committee appointed to address conflicts of interest, except to the extent additional disclosure is necessary in connection with the implementation of the policy. The administrative assistant monitors and tracks compliance with the conflict of interest policy. A list is kept of each form returned by board members and key employees/officers until the return due date. Once the due date passes, the president and ceo makes personal contact with board members that have not complied. The president and ceo reviews the completed forms and discusses any conflicts with the chair of the board who addresses conflicts with individual board members or key employees/officers.

Form 990, Part VI, Section B, Line 15

Line 15a - the president and chief executive officer (ceo) of ppc is the principal representative of ppc and the person responsible for the efficient operations of the organization. Therefore, it is the desire of the board of directors to provide a fair, yet reasonable, compensation for the president and ceo. In order to ensure the successful execution of the organization's strategic direction and long term goals, the executive committee of the board of directors, without the participation of the president and ceo, will annually evaluate his/her performance. The chair of the board of directors will ask the president and ceo for input concerning organization accomplishments and personal performance for the prior year as well as requests for changes in his/her compensation. The executive committee will secure relevant information to set the compensation of the president and ceo to the extent feasible. Such information should document compensation levels including salary and benefits of individuals who possess similar qualifications and responsibilities. The executive committee may also choose to consider additional factors in setting compensation such as, but not limited to, length of service, organizational growth, and success in performing duties. The committee will document and record deliberations and decisions regarding compensation arrangements for the president and ceo. The chair of the board of directors, who is a volunteer and not compensated by ppc, will operate independently, without influence from the president and ceo. No member of the executive committee included in these deliberations will be a staff member, the relative of a staff member, or have any relationship with staff that could present a conflict of interest. Line 15b - the president and chief executive officer (ceo) will notify the chair of the board of directors if another employee has earnings reaching the irs determined thresholds of "key employee". In this case, compensation will be set for the "key employee" in a manner similar to that of the president and ceo. The president and ceo will participate in the evaluation and compensation determination for the "key employee" pending no conflict of interest.
