Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 is made available to board members who sit on the finance committee to review and comment on prior to its filing.

Form 990, Part VI, Section B, Line 12C

Each director, officer, employee and volunteer ("interested person") will be asked to review a copy of the conflict of interest policy and acknowledge that they have done so. Annually, each interested person shall complete a disclosure form identifying any potential conflicts of interests. If a conflict of interest exists, the interest person shall disclose all material facts relating to that conflict. The interested person that has a conflict of interest shall not participate in or be permitted to hear the board's discussion on the matter except to disclose material facts and respond to questions. The interested person having a conflict of interest may not vote on the matter and shall not be present in the meeting room when a vote is taken. Interested persons who are not members of the board of directors or who have a conflict of interest with respect to a matter that is not subject to board or committee action, shall disclose to their supervisors, or the chair, or the chair's designee, any conflict of interest.

Form 990, Part VI, Section B, Line 15A

As part of the annual budgeting process, the board of directors will determine the adequacy of executive compensation, based upon current financial condition of the organization and will also consider compensation levels at other similar sized and type non-profit organizations. Upon changes in key executive positions, the executive committee of the board will make a formal and detailed analysis of the compensation requirements of these respective positions.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, financial statements, and conflict of interest policy available upon request.

The "separate basis" box has also been marked off, whereas previously they were all blank. This reflects the fact that the audit is now complete. 4b) line 2c changed from "no" to "yes" to reflect that the audit is now completed. 5) form 990 part xi reconciliation of net assets 5a) line 8 prior period adjustments - there was a ppa of $90,000 recognized in the audit that was not present on the original tax return, so it has been included here to reflect that change in the audit. 5b) line 10 net assets or fund balances at end of year - this changed from 1,262,280 to 1,352,280 to reflect the addition of the ppa 6) schedule d 6a) part x other liabilities line 2 - in line with the completion of the audit, the box in line 2 has been marked off and the statement has been provided in part xiii 6b) part xi reconciliation of revenue per audited financial statements with revenue per return - this section was not completed on the original return because the audit had not yet been completed. This has been updated on the amended return to reflect the completion of the audit. 6c) part xii reconciliation of expenses per audited financial statements with expenses per return - this section was not completed on the original return because the audit had not yet been completed. This has been updated on the amended return to reflect the completion of the audit. 6d) part xiii supplemental information - whereas on the original return this was blank, this has now been populated with information to reflect the additional information required.
