Mission and Program Overview

Mission

Manufacturers resource center (the center) is a public/private economic development organization operating a pennsylvania industrial resource center and federal manufacturing extension partnership regional center. The center provides consulting training and technology resources, primarily to small and medium sized manufacturers, to enhance their ability to successfully compete in the global marketplace. In addition, the center works with economic development partners to encourage regional coordination of economic development efforts and a comprehensive efficient, economic development delivery strategy.

MRC's CFO/Treasurer is responsible for the accurate and timely completion and submission of the 990 tax return annually. Prior to filing, the completed forms are sent to the Executive and/or Finance Committee for review and are made available to the full Board prior to submittal. Copies of the filed returns will be retained and made available to the public upon request as required by law.

Form 990, Part VI, Section B, Line 12C

Each officer, director or key employee will report any conflicts of interest to the CFO or Board Chairman, as soon as practical after they become aware of such a conflict. They must also annually complete the form 990 Tax Questionnaire in addition to completing the Conflict of Interest and Financial Disclosure forms required by the state. MRC monitors compliance with its Conflict of Interest policy by reviewing the annual Questionnaires and providing a summary highlighting potential conflicts of interest to the Executive Committee to determine whether further action is required. If conflicts exist, the Executive Committee will recommend to the Board the corrective measures, if any, to be taken to resolve the conflict or will impose appropriate restrictions on the persons with the conflict. The Board of Directors, excluding such conflicted persons, will have final approval of any recommended corrective measures or imposed restrictions. Such restrictions will require excluding conflicted persons from discussion and approval of transactions benefitting them, directly or indirectly.

Form 990, Part VI, Section B, Line 15

The Executive Committee of the Board acts as MRC's compensation committee. They annually review and approve the overall merit pool, any one-time salary adjustments and changes to the structure of the Performance Incentive Plan. Periodically, an outside compensation expert will be retained to review compensation levels and policies to insure that MRC's compensation remains fair, reasonable and not excessive. The Executive Committee also annually determines the total compensation, including benefits and other forms of compensation, for all officers and key employees and conducts an annual performance review for the President/CEO. Compensation for officers and key employees will be reviewed based upon comparable data and must be approved in advance by the Executive Committee. The deliberations and decisions on compensation will be contemporaneously documented in the minutes. The individuals covered by this policy are Jack Pfunder, President/CEO and Nancee Noderer, CFO /Treasurer.

Clients are surveyed 1 to 3 years later by an independent organization to determine the economic benefits derived. During the period July 1, 2017 through June 30, 2018, the Center engaged in 46 substantive projects with 37 companies and conducted 57 workshops or events with 811 participants. During the same period, 62 companies reported $72.1 million in aggregate economic impact as a result of the Center's assistance.

IN ADDITION, THE CENTER WORKS WITH ECONOMIC DEVELOPMENT PARTNERS TO ENCOURAGE REGIONAL COORDINATION OF ECONOMIC DEVELOPMENT EFFORTS AND A COMPREHENSIVE EFFICIENT, ECONOMIC DEVELOPMENT DELIVERY STRATEGY.
