“The organization has four classes of membership: full, honorary, trade, and associate. Full and honorary members may vote at the annual membership meeting to confirm election to the board of directors the persons placed in nomination by the nominating committee of the board. They may also vote on any board nominations made outside of the nominating committee.”

“The nominating committee of the board compiles a slate of board nominees which is then confirmed by vote of the full and honorary members of the chamber at the annual membership meeting. Members may nominate a board candidate outside of the nominating committee, who are then also voted on by full and honorary members.”

“A draft of form 990 is circulated to all members of the board and is reviewed and approved before filing.”

“Per the chamber's bylaws, a board director, officer, or employee may not represent the chamber in any transaction where the individual has any material connection or substantial financial interest, either directly or indirectly. A board director or officer is to refrain from voting upon any matter or participating in the decision making in any such transaction. The chamber monitors and enforces compliance with the conflict of interest policy through regular conversations with board members. All members of the board, officers, and employees are required to sign the chamber's code of ethics at the time of election or employment and with every re-election or performance review thereafter. Each employee or board member shall be responsible to update the chamber of any relevant changes in the interim.”
