Review of Form 990

Form 990, Part VI, Section B, Line 11a An external accounting firm prepares the form 990 for the good samaritan health services foundation with the assistance of accounting and finance personnel. The accounting and finance personnel and the chief financial officer of the Health System then review the completed form 990. The completed Form 990 will be provided to the full board.

Conflict of Interest Policy

Form 990, Part VI, Section B, Line 12 The good samaritan health services foundation has a compliance officer that is responsible for monitoring and enforcing the compliance of policies. the board members sign a conflict of interest statement every year which states what organizations or businesses he or she is the owner, officer, member or employee. If an issue is brought to the board and there is a conflict of interest with one of the board members, the board member would remove himself from the discussion and abstain from voting on the issue.

Compensation

Form 990, Part VI, Section B, Lines 15a & 15b The Good Samaritan Health Services Foundation does not compensate the CEO, or other top management officials, they are compensated by Good Samaritan hospital a related tax-exempt organization. The compensation committee of Good Samaritan Hospital hires an independent compensation consultant to establish the CFO's compensation and compose the contract. The compensation committee presents the information to the board for discussion. The deliberation and compensation decision are documented in the committee and/or Board meetings minutes.
