Pt VI, Line 1A

The executive committee is composed of at least three directors and may exercise all the powers and authority of the board of directors during the periods between meetings of the board of directors, except the following (a) the filling of vacancies on the board of directors (b) the adoption, amendment or repeal of the bylaws (c) the amendment or repeal of any resolution of the board of directors (d) action on any matters committed by the bylaws or resolution of the board of directors to the board of directors.

The form 990 is prepared by an independent accounting firm and reviewed by the executive director and officers. The final version of the return is sent to the entire board prior to filing with the internal revenue service.

Pt VI, Line 12C

The conflict of interest policy applies to any director, principal officer, or member of a committee with board-delegated powers in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board-delegated powers considering the proposed transaction or arrangement after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he or she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. If a conflict is identified, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable in addition to the requirement that all interested persons annually sign the conflict of interest forms, periodic reviews are also a required component of the policy.

The corporation is a non-profit entity as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes. Accordingly, there is no provision for income taxes. The corporation is not aware of any activities that would jeopardize its tax-exempt status or any activities that are subject to tax on unrelated business income taxes. The corporation follows the guidance in the income tax standard regarding the recognition and measurement of uncertain tax positions. The guidance further prescribes recognition and measurement of tax provisions taken or expected to be taken on a tax return that are not certain to be realized. The application of this standard had no impact on the corporation's financial statements. The corporation's tax returns are subject to review and examination by federal and state authorities.
