Mission

Soroptimist is a global volunteer organization that provides women and girls with access to the education and training they need to achieve economic empowerment. (continued on schedule o)our vision is for women and girls to have the resources and opportunities to reach their full potential and live their dreams. Soroptimist was formed in 1921 in oakland, california, at a time when women were not permitted to join service organizations. Our name, loosely translated from the latin, means best for women. Today, we have over 24,000 members and supporters in countries across north america, latin america and the pacific rim. We are one of five federations that make up soroptimist international, which has clubs in more than 120 countries throughout the world.

As a global volunteer organization whose members work in 21 countries & territories, our mission is to improve the lives of women & girls through programs leading to social & econimic empowerment. We have the vision that women and girls have the resources and opportunities to reach their full potential and live their dreams. Our core values are that women and girls; live free from discrimination, are free to act in their own best interest, deserve to lead full and productive lives through access to education and that women from varied backgrounds and perspectives work together to improve the lives of women and girls.

The members of sia include 1,262 soroptimist clubs in the us (and its territories), canada, mexico, central america, south america, taiwan, japan, korea and philippines.

Form 990, Part VI, Section A, Line 7A

The members of sia are clubs. Each soroptimist club has one vote which is exercised via mail ballot. Members elect the president-elect and members of the board of directors. The board of directors meet in person at least two times per year and may meet via teleconference if urgent business arises between meetings.

Form 990, Part VI, Section A, Line 7B

Members of the sia board of directors are elected from 13 electoral areas and serve staggered 2-year terms, with half of the directors rotating off each year. There are 3 officers: president, president-elect and secretary/treasurer. The president-elect is elected annually via mail ballot to all the soroptimist clubs in good standing at the time of election, and automatically succeeds to the office of president on september 1 of the following year. The secretary/treasurer of the organization is elected annually by the board of directors from among one of its members who is not serving as president or president-elect and serves as the chair of the finance committee - which is a committee of the whole board. The chair of the fundraising council serves as an ex-officio member of the board of directors. Amendments to the organization's articles of incorporation and bylaws must be approved by a majority of the soroptimist clubs, with advance notice. In addition, the clubs consider resolutions directing certain mission-related projects or activities. All proposed amendments and resolutions are considered by delegates attending convention and then sent in final form via mail ballot to all soroptimist clubs in good standing for consideration.

A copy of the completed form 990 will be provided to all board members for review prior to filing. Approval of the form 990 will be conducted through a mail ballot or at a scheduled board of directors meeting.

Form 990, Part VI, Section B, Line 12C

Directors, officers and employees of sia are expected to act in a manner to put the interest of sia before any personal benefit. Information or personal contacts gained through associations with sia may not be used for personal profit, gain or advantages. Immediate family members of sia employees may not be employed by, sign contracts for, or receive any financial compensation from or have business interests with sia. From time to time, sia circulates questionnaires about conflicts of interest to persons, including upon commencement of service on the board or employment and at least annually thereafter. Any conflicts disclosed are investigated by the executive director.

Form 990, Part VI, Section B, Line 15

Sia pays its executive director fair market value for his/her services within the context of fiscal responsibility to the organization. Comparable compensation and benefit packages will be researched by the chief operating & finance officer or an outside source at the discretion of the board on an annual basis. The board will review benefits and adjustments to the range annually, using this research as a guide. A written performance evaluation of the executive director is prepared annually after seeking input from the board at a board meeting. A self evaluation prepared by the executive director is considered in the written performance evaluation. The executive compensation committee (the president, president-elect and the immediate past president) recommends the increase in compensation and brings their recommendation to the board for a vote. The executive compensation committee meets with the executive director to discuss the evaluation and compensation increase.

Financial Statement Notes

PART IV, LINE 2B:

The organization receives funds from member clubs on behlaf of other organizations, which it holds and, periodically makes remittances to them. These funds are not owned by the organization nor does it exercise discretion over receipts or disbursements. Consequently, they are included as a liability on the statement of financial position. Receipts and disbursements of agency funds are not included in the statements of activities.

PART V, LINE 4:

Permanently restricted net assets are invested to earn income to support program projects and operations.

PART X, LINE 2:

Sia is exempt from federal income tax under section 501(c)(3) of the internal revenue code. The organization follows the accounting guidance for uncertainty in income taxes using the financial accounting standards board (fasb) asc 740, income taxes. Using that guidance, tax positions initially need to be recognized in the financial statements when it is more likely than not that the position will be sustained upon examination of the tax authorities. It also provides guidance on the recognition, measurement, and classification of income tax uncertainties, along with any related interest or penalties. The organization's federal tax return is subject to audit by taxing authorities. As of august 31, 2017, the organization had no uncertain tax positions that qualify for either recognition or disclosure.

THROUGH THE PROGRAM, CLUBS IN 21 COUNTRIES AND TERRITORIES ASSIST WOMEN WHO PROVIDE THE PRIMARY SOURCE OF FINANCIAL SUPPORT FOR THEIR FAMILIES BY GIVING THEM THE RESOURCES THEY NEED TO IMPROVE THEIR EDUCATION, SKILLS, AND EMPLOYMENT PROSPECTS SO THEY MAY REACH AN IMPROVED STANDARD OF LIVING FOR THEMSELVES AND THEIR DEPENDENTS. EACH YEAR, NEARLY $2.1 MILLION IS DISBURSED THROUGH CASH AWARDS AT VARIOUS LEVELS OF THE ORGANIZATION. RECIPIENTS WHO HAVE OVERCOME ENORMOUS OBSTACLES INCLUDING POVERTY, DOMESTIC VIOLENCE, AND TEEN PREGNANCY MAY USE THE AWARDS TO OFFSET ANY COSTS ASSOCIATED WITH THEIR EFFORTS TO ATTAIN HIGHER EDUCATION, SUCH AS BOOKS, CHILDCARE AND TRANSPORTATION. SINCE 1972, SOROPTIMIST HAS DISPERSED MORE THAN $32 MILLION TO MORE THAN 31,500 WOMEN THROUGH THE LIVE YOUR DREAM AWARDS.THE OUTCOMES FROM SUCH AWARDS ARE SUMMARIZED AS FOLLOWS, BASED ON A FIVE YEAR AVERAGE:82% OF AWARD RECIPIENTS REPORT AN INCREASED STANDARD OF LIVING FOR THEMSELVES AND THEIR DEPENDENTS.97% OF AWARD RECIPIENTS REPORT INCREASED SELF-ESTEEM.97% OF AWARD RECIPIENTS EARN OR CONTINUE TO PURSUE AN EDUCATIONAL DEGREE/CERTIFICATION.76% OF AWARD RECIPIENTS WHO HAVE COMPLETED THEIR EDUCATIONAL DEGREE/CERTIFICATION SECURE HIGHER-PAYING EMPLOYMENT.97% OF AWARD RECIPIENTS REPORT SERVING AS A ROLE MODEL FOR THEIR DEPENDENTS.

SOROPTIMIST CLUBS IN 21 COUNTRIES AND TERRITORIES WORK IN PARTNERSHIP WITH GIRLS IN SMALL GROUPS OR A CONFERENCE SETTING TO PROVIDE THEM WITH THE INFORMATION AND RESOURCES THEY WANT AND NEED TO BE SUCCESSFUL.
