Mission

The visiting nurse association's (vna) exclusive mission is to provide home health and hospice services, which include nursing care for patients with acute and chronic illnesses, various therapy disciplines, social work, and home health aide services. (see sch o.)all revenues and contributions received are utilized to further the organization's mission. Services are provided to the uninsured and underinsured indigent population of the philadelphia region.

The vna provides home health and hospice services for patients with acute and chronic illnesses.

Governance Explanations

Form 990, Part VI, Section B, line 11B

The Agency's Executive Management, Board of Directors, and Audit Committee review the prepared Form 990 before it is filed with the IRS.

Form 990, Part VI, Section B, line 12C

Each trustee, principal officer and member of a committee with Board delegated powers shall annually sign a statement which affirms such person: (a) has received a copy of the conflict of interest policy; (b) has read and understands the policy; (c) has agreed to comply with the policy; and (d) understands the Company is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with any actual or possible conflict of interest, an Interested Person must disclose the existence of the interest and be given the opportunity to disclose all material facts to the Trustees and member of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the interest and all material facts, and after any discussion with the Interested Person, he/she shall leave the Board of Trustees or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining Trustees or committee members shall decide if a conflict of interest exists. The chairperson of the Board of Trustees or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the Board of Trustees or committee shall determine whether the Company can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the Board of Trustees or committee shall determine by a majority vote of the disinterested Trustees whether the transaction or arrangement is in the Company's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. If the Board of Trustees or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the Board of Trustees or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, line 15

Executive Compensation is reviewed by the Compensation Committee, composed of certain members of the Board of Directors. Those recommendations are then reviewed and approved by the entire Board. The committee considers current Salary, position, and their relation to contemporary positions in our industry grouping. This review is performed and documented in the minutes of the board for the eight executives as follows: CEO, CFO, SVP of Home Health, SVP of Hospice, SVP of Development, SVP of Marketing, SVP of Human Resources and the SVP of Quality Improvement.

Financial Statement Notes

Part X, Line 2:

The organization accounts for uncertainty in income taxes using a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold is met. Management determined there were no tax uncertainties that met the recognition threshold in 2017 and 2016. The organization does not perform any activities that would be subject to unrelated business income tax; therefore, it has not filed Form 990-T, Exempt Organization Business Income Tax Return. The organization's policy is to recognize interest and penalties related to unrecognized tax deficiencies in supplies and other expenses.

All revenues & contributions received are utilized to further the organization's mission. Services are provided to the Uninsured & Underinsured indigent population of the Philadelphia region. The Home Care division of The VNA provided 102,216 visits to 7,066 patients in the fiscal year ended June 30, 2017. The Hospice Division of the VNA also provided continuous, routine, respite & general inpatient care days totaling 82,441 days to 1,497 patients in the fiscal year ended June 30, 2017.
