Governance Explanations

Form 990, Part VI, Section A, Line 6

The lancaster chamber of commerce & industry has two classes of membership: full - a firm, association, corporation, or partnership which supports the activities of the chamber in accordance with the established membership investment program. Full members are eligible to hold office, vote, and otherwise participate in the affairs of the chamber. Affiliate - an association with a formally established partnership with the chamber. Affiliate members are not required to pay dues but can be afforded non-voting board representation at the discretion of the full board.

Form 990, Part VI, Section A, Line 7A

The lancaster chamber of commerce & industry has two classes of membership. Only the full membership has voting rights. Nomination: a nominating committee composed of not fewer than eight(8) directors shall be appointed by the chair each year. The nominating committee shall nominate a slate of proposed board members to maintain up to 27 director positions. The nominating committee shall submit a list of names of the nominees to the board for approval no later than the october board meeting. After approval by the board, the president shall notify all members of the proposed slate. In addition, members are to be advised that they may propose the nomination of an additional person for election to the board provided the name of the additional nominee is submitted to the chair by written communication duly signed by 5% of full members. In the event no additional nominations are received within the time limit stated above, the board may, at the regular november board meeting, confirm the unanimous election to the board of the persons placed in nomination by the nominating committee. In the event one(1) or more nominations in addition to the persons proposed by the nominating committee is received, the board shall arrange for an election by the membership at which voting will be conducted by ballot or any other means deemed appropriate by the chair. Vacancies: vacancies occurring within the board during the fiscal year shall be filled by the chair with approval of the board. The office of any board member who shall be absent from three (3) consecutive regular meetings of the board may be deemed vacant at the discretion of the board by a majority vote of those voting at any meeting thereof.

Form 990, Part VI, Section B, Line 11B

Prior to filing, the form 990 is reviewed with the organization's executive committee. The form 990 is then posted on the organization's website and notice is provided to all board members of its availability. Subsequent to its posting, the form 990 is filed with the internal revenue service. In addition, form 990 shall at all times be available for inspection by the public within the offices of the organization. Members of the chamber may also inspect the consolidated audit report.

Form 990, Part VI, Section B, Line 12C

The board of directors of the organization including ex-officio and the president/ceo are covered under the conflict of interest policy. Each covered person is required to complete a conflict of interest statement annually disclosing any potential conflicts. They are also required under the conflict of interest policy to disclose any conflict they may encounter during the process of performing their duty on the board throughout the year. A determination of a conflict of interest is made when the annual statement is turned in and is reviewed by the president/ceo. During the year the covered individuals must disclose to the board and the president/ceo any transaction that may be a conflict in addition to those disclosed on the annual statement. All potential conflicts are reviewed by the president/ceo and if there is a conflict the covered person is cleared of any consequence by the full disclosure made before any action is taken regarding the conflict. The covered person with the conflict must abstain from any decision in the conflicting transaction. The covered person must also be absent from that part of any meeting when the conflicting matter is being voted on. The covered person may be present for discussion to answer questions but may not advocate for the action to be taken. There should be more than one quote or rfp for any significant transactions (over $5,000) that occur where a conflict of interest is involved. Those transactions that involve a significant conflict must be authorized by the board by a 2/3 majority of the directors not including the interested covered person. The conflict of interest policy does expressly state that business relationships are a source of potential conflict.

Form 990, Part VI, Section B, Line 15A

Each year it is the responsibility of the past chairman of the board to manage the review process for the president of the lancaster chamber. At the end of the review year, the president completes a self-assessment noting accomplishments, performance, and completion of goals. The president presents the assessment to the members of the executive committee. The president is excused from the meeting and discussion ensues to evaluate the assessment. Comparable salary information that includes a survey from the american chamber of commerce executives and data from other chambers in the region is available for reference. The committee determines any increase and bonus percentage at this time. The president meets again with the past chair, the current chair, and the chair elect where he/she is presented with the committee's decision, both verbally and formally in a letter. The board chair notifies the director of finance of the new compensation who forwards the information to hr for processing. All executive committee discussions are documented in the committee's minutes.

The organization makes its governing documents and conflict of interest policy available for public inspection upon request. These documents are available for inspection by chamber members at the office of the organization.
