“Each director, officer, key employee, and member of a committee with board-delegated powers shall execute and deliver to the corporate secretary an annual questionnaire and disclosure statement detailing the facts relating to any actual or potential financial interest in any proposed contract or other transaction involving bayada. The corporate secretary shall then prepare an annual related party transactions and conflict of interest schedule. This schedule is presented to the finance & audit committee for its review and acknowledgement, with the committee providing guidance as to whether any transaction warrants further action by management. If any director, officer, or key employee of the corporation has a financial interest in any proposed contract or other transaction involving bayada, the director, officer, or key employee must disclose the financial interest to the board or committee authorizing the transaction. The board or committee shall determine whether the financial interest constitutes a conflict of interest. A director, officer, or key employee who has a conflict of interest may answer questions of the board or committee considering the contract or transaction that involves the conflict. However, after answering questions, the director, officer, or key employee shall leave the meeting during the discussion of the merits of the contract or transaction and shall not vote on the contract or other transaction.”
