Executive Compensation Policy

PART VI, SECTION B, LINES 15a & 15b JDRF's Board of Directors charges a Talent and Compensation Committee to develop and recommend a compensation philosophy that applies to all employees of JDRF, including recommendations regarding the compensation and benefits of JDRF senior management for approval by the Executive Committee. The Committee works in collaboration with the President and CEO and the Chief People Officer and other senior staff personnel in the JDRF Human Resources Department to ensure that 1) the Foundation's talent strategy supports and is aligned with its overall organization strategies; 2) JDRF is in compliance with IRS guidelines for determining reasonableness in pay practices; and 3) overall compensation for JDRF's key executives is competitive and aligned with pay philosophy. To attract and retain top scientific and executive talent to advance its mission, the organization pays competitive and appropriate salaries as determined by analysis of reliable data and input from independent third-party consultants. The review of JDRF executive compensation and benefits under the procedures noted above is completed annually by an independent Compensation Committee, and the basis for their determination IS documented contemporaneously in the minutes of the Committee's meetings, including most recently on June 20, 2018.

Form 990 Review Process

SECTION B, PART VI, QUESTION 11B JDRF has a rigorous standard approach to reviewing its 990. The Organization's Tax Manager works with its outside tax professionals to prepare the return and all supporting schedules. The draft return is reviewed by a number of individuals, including JDRF's Chief Financial Officer and Director of Accounting and Finance, the Chief Executive Officer, other executives, its external senior tax advisor and others as necessary to ensure accuracy. Any questions and changes with respect to the draft return are addressed. Following this process, the return is reviewed by JDRF's Audit Committee of the Board of Directors with its outside tax advisors. Once approved, the return is distributed to all members of JDRF's Board of Directors for review and comment before it is filed with the Internal Revenue Service.

PART III: STATEMENT OF PROGRAM SERVICE ACCOMPLISHMENTS

LINE 4A ($84,651,980) RESEARCH GRANTS JDRF has played a significant role in nearly every T1D therapeutic advance of the past four decades. We have more than 500 active T1D research grants funded in the United States and 19 other countries around the world - more than 150 grants in 2018 alone. Additionally, seventy-five JDRF-funded clinical trials are currently under way. The full impact of JDRF's research investment extends well beyond direct funding. JDRF leverages partnerships with academia, industry and clinicians to accelerate the most promising research opportunities. Accomplished experts and leaders in the field of T1D science and medicine guide the organization's funding efforts in the United States and around the world. Our highest priority is developing a cure for T1D and its complications. As we increase our understanding of the causes of T1D, we will also uncover ways to prevent them from occurring. At the same time, we're focused on developing better therapies to help people with T1D live healthier lives today. The foundation's diversified research portfolio includes the following therapy areas: Artificial Pancreas: Artificial pancreas (AP) systems use technology to replicate the operation of a normal human pancreas and are one of the most revolutionary advances in diabetes care since the discovery of insulin. JDRF has been pivotal in developing and pursuing AP systems, and has transformed the field in less than 10 years by working closely with numerous partners, researchers and companies to overcome the challenges that had prevented AP technology from moving forward. Today, JDRF's Artificial Pancreas Program is working to advance next-generation technology that is small, user-friendly and accurate, so that people with T1D can get through the day without needing to check blood sugar levels or dose insulin as often. These systems link continuous glucose monitors and insulin pumps to smart software so that the right amount of insulin is delivered at the right time. Our advocacy efforts, for instance, helped shave years off the regulatory approval process for the first Artificial Pancreas system, now on the market. Beta Cell Regeneration: The JDRF Beta Cell Regeneration Program aims to find and develop treatments to maintain the health and function of insulin-producing beta cells - and to develop therapies to generate new ones. The creation of the Network for Pancreatic Organ Donors with Diabetes, or nPOD, a JDRF initiative, helped uncover the opportunities of beta cell regeneration. Beta Cell Replacement: The JDRF Beta Cell Replacement program focuses on creating and then placing new insulin-producing beta cells back in the body, potentially allowing people with T1D to live years, even decades, without glucose monitoring and insulin injections. Complications: Despite advances in glucose control, many people with T1D are still at risk of developing serious kidney, eye, heart and nerve diseases. JDRF's Complications Program focuses on eye and kidney diseases, two areas where we believe we will have the most impact. Glucose Control: Even with today's technology, maintaining tight glucose control can be challenging. Our Glucose Control Program is driving clinical trials and breakthrough solutions to make the management of glucose easier and to keep people with T1D healthier. Immunotherapies: In people with T1D, the immune system mistakes the body's own cells for dangerous invaders and targets the pancreas' insulin-producing beta cells. As a result of beta cell death, people with T1D depend on external insulin to survive. Our approach through JDRF's Immunotherapies Program is to disable overactive immune assassins, boost "good" cells that can control and inhibit the killer cells, and restore immune control. Prevention: The JDRF Prevention Program works to eliminate the threat of T1D from future generations - and translate research knowledge into therapies that can stop T1D from developing. Conflict of Interest Policy

FORM 990- PART VI-SECT B, LINE 12C All officers, directors, key employees, board and committee members (both chapters and international boards) are required to sign a conflict of interest policy annually and disclose any conflicts. The Office of the President and CEO manages this process, and JDRF's internal audit department annually audits to ensure compliance. If any conflict does arise, the board members with the conflicts will recuse themselves from the meeting and/or vote.

990 sch-d, part x, line 2 jdrf is a not for profit organization exempt from federal income taxes under section 501 (c) (3) of the internal revenue code and is organized under the laws of the commonwealth of pennsylvania. Income generated from activities unrelated to jdrf's exempt purpose is subject to tax under internal revenue code section 511. Income tax liabilities are recognized when such positions are quantifiable and likely to be realized. Unrelated business income tax liability was insignificant for the years ending june 30, 2018 and 2017.
