Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of the chairman, the vice chairman, the treasurer (if an individual) and one-director-at-large to be chosen by the five directors-at-large. The executive director, the corporate secretary and the treasurer (if not an individual) shall be non voting members of the executive committee. The executive committee shall exercise all the general powers of the board of directors between meetings of the board except as otherwise provided by the board of directors or by law.

Form 990, Part VI, Section A, Line 6

The membership of international centre for diffraction data ("icdd") shall consist of two classes: active members and associate members. Active membership shall be open to applicants professionally involved with materials characterization. Applicants shall be elected by the icdd board of directors upon nomination for active membership by the membership committee, subject to the board's review and approval of the applicants' qualifications. Associate members shall consist of active members reclassified as associate members in certain circumstances. Associate members are not eligible to vote. A membership classification entitled affiliates shall be open to students studying materials characterization methods. Applicants shall be elected by the board upon nomination for affiliate by the membership committee, subject to the board's review and approval of the applicants' qualifications. Affiliates are not eligible to vote.

Form 990, Part VI, Section A, Line 7A

The election of the chairman, vice chairman, chairman of the technical committee and directors-at-large shall be held in conjunction with the annual meeting of members in the even-numbered years in accordance with the procedures set forth in the organization's bylaws. At any duly organized meeting of members called for that purpose, the active members may, by the vote of the members present, in person or by proxy, entitled to cast at least three-fifths of the votes which all members present and voting are entitled to cast, remove from office any director subject to election by the members, with or without cause, and may, in the case of the removal of any such director, elect a replacement at the same meeting to serve in the office and for the remainder of the term of the removed director.

Form 990, Part VI, Section A, Line 7B

Except as otherwise provided by law, amendments to the organization's bylaws may be made by the board of directors or by the active members at any meeting duly convened after notice of that purpose. The pennsylvania nonprofit corporation law prohibits the board of directors from amending provisions of the bylaws that relate to several areas, such as the selection of directors, removal of directors, voting rights of directors, classification of members, quorum and voting requirements for members and voting by proxy. Only the members may amend these provisions.

Draft copies of the 990 and 990t are sent electronically to the board approved committee (audit review committee) to review prior to filing. The committee is made of up of three members of the board of directors: chairman of the board, chairman of the technical committee and treasurer.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy applies to all employees and the members of the board of directors. In addition, the policy is intended to be a general guideline for any member, committee, or subcommittee that makes financial recommendations to the board. If employees and board members have an influence on transactions involving purchases, contracts or leases it is imperative that they disclose to an officer of the organization, as soon as possible, the existence of any actual or potential conflict of interest so that safeguards can be established to protect all parties. Employees are required to sign a declaration of conflicts of interests as a requirement for employment. Members of the board of directors are required to submit a declaration as part of the nomination process and biennially with the induction of the new directors. Both parties are obligated to report in writing to the officers of the organization, any conflict of interest when they become aware of them. A conflicts disclosure statement is provided for this purpose. For employees, failure to disclose will be subject to action up to and including termination. For directors, failure to disclose will be subject to action up to and including removal from office, following procedures described in the organization's bylaws. A director or employee shall abstain from voting upon any matter in which that person has a potential conflict of interest. Abstentions shall be declared to the secretary of the applicable meeting and duly recorded in the minutes thereof.

Form 990, Part VI, Section B, Line 15

To monitor compensation for all employees as well as the executive director, icdd participates and receives several surveys throughout the year. The groups that sponsor these surveys are collecting information from other organizations related to icdd in terms of type (non-profit), size and scientific organization. To ensure that the salaries are compared equally, icdd maintains job descriptions and salary scales for each position offered. This information is verified annually to ensure we are keeping up with current trends and benchmarks.

The fund was established to promote the collection and evaluation of powder diffraction data. The fund sponsors suitable research projects for the improvement, development, and utilization of diffraction data.

In accordance with financial accounting standards board ("fasb") accounting standards codification ("asc") 740, accounting for uncertainty in income taxes, management evaluates the tax positions taken or expected to be taken during the preparation of the international centre's tax returns to determine whether its tax positions are more-likely-than-not of being sustained upon examination by the applicable tax authority. Management believes any such positions would be immaterial to the financial statements.

ALL DATA ARE CRITICALLY REVIEWED AND EVALUATED BY THE EDITORIAL STAFF. EACH PATTERN MUST PASS THROUGH A FOUR-TIERED EDITORIAL REVIEW PROCESS BEFORE IT CAN BE INCLUDED IN THE PDF.
