Independent member nursing facility members-this group of membership is eligible to elect five directors to the board. This is done through an election among this membership group. Independent member assisted living facility members-this group of membership is eligible to elect up to one director to the board. This is done through an election among this membership group. Regional vp's-phca is divided into five regions in the state of pennsylvania. Each region elects a regional vice president by and from members in those regions. Each of the five regional vice presidents receive a phca board seat.

Any changes to phca's bylaws have to be approved by the entire membership. Bylaw changes, if any, are presented to the entire membership for vote at phca's annual convention.

The finance committee and the officers of the board of directors are given the opportunity to review the completed form 990 and related schedules and to meet representatives of the accounting firm that prepared the form 990 and related schedules to discuss the content and answer any questions the finance committee and officers of the board may have. Final changes, if any, are then made to the form 990 and related schedules. The finance committee and the officers of the board approve the final copy of the form 990 and related schedules and the final copy is available for each member of the board of directors upon filing.

Form 990, Part VI, Section B, Line 12C

Members of the board are required to complete a conflict of interest statement upon joining the board as well as annually. The statements are reviewed and issues are addressed at that time. Management and the finance committee participate in monitoring member independence. Management makes decisions regarding new and ongoing contracts as well as business relationships. The board members collectively approve the budget and are thereby informed of ongoing contracts and anticipated contracts. During the year, the finance committee regularly reviews and discusses budget to actual financial statements with variance analysis (greater than $1,000 on a monthly basis and $5,000 on a quarterly basis) in addition to cash management reports. These processes mitigate the risk of conflicts of interest.

Form 990 is being amended to include section 162(e) nondeductible lobbying and political expenditures on schedule c, part iii-b, line 2.

Financial Statement Notes

PART X, LINE 2:

The organization adheres to the provisions of financial accounting standards board (fasb) accounting standards codification (asc) 740, income taxes (asc 740). Asc 740 establishes rules for recognizing and measuring tax positions taken in an income tax return, including disclosures of uncertain tax positions (utps). Asc 740 mandates that entities evaluate all material income tax positions for periods that remain open under applicable statutes of limitation, as well as positions expected to be taken in future returns. The utp rules then impose a recognition threshold on each tax position. A company can recognize an income tax benefit only if the position has a "more likely than not" (i.e., more than 50 percent) chance of being sustained on the technical merits. For the years ended december 31, 2024 and 2023, the organization has taken no material tax positions on its applicable tax filings that do not meet the "more likely than not" threshold. As a result, no amount for utps has been included in the consolidated financial statements. Management believes it is no longer subject to income tax examinations for years prior to 2021.
