Governance Explanations

Form 990, Part VI, Section B, Line 11B

Governing body review of form 990 the form 990 is reviewed by the executive director, the president of the board of trustees and the finance committee before the return is signed. In addition, a final copy of the form 990 is provided to each member of the board of trustees prior to its filing.

Form 990, Part VI, Section B, Line 12C

Monitoring and enforcement of the conflict of interest policy it is the responsibility of every board trustee to monitor compliance. Annual completion of a conflict of interest policy form is required. When there is a concern that there may be a conflict of interest, trustees will seek guidance from those trustees who are attorneys or seek outside legal counsel.

Form 990, Part VI, Section B, Line 15A

Process for determining compensation for officers and key employees the board of trustees reviews the executive director's performance and institutes salary adjustments after the initial 6 months and 12 months of service, then annually thereafter. The executive director's salary is initially determined by previous history. In the case of the current executive director, a search firm contracted by the center provided input on salary based on comparable non-profit organizations. All other employees' salaries are adjusted via annual review.

Financial Statement Notes

PART III, LINE 4:

Description of collections the center's collections consist of both living and non-living collections, each supporting the center's mission of creating immersive educational experiences. The center's 340 acres of privately owned and managed property is the largest, non-government owned open space within the city limits of philadelphia, pennsylvania and is one of the first environmental educational facilities located within the limits of a major metropolitan area. The living collections include a "land collection" of ecosystems - woodlands, meadows, successional hardwood forests, wetlands, riparian corridors and aquatic habitats; a native plant nursery; the wild animals, birds and insects living in these habitats; non-releasable demonstration animals housed at the wildlife rehabilitation clinic; a green roof; and more than 15 species of demonstration butterflies. Non-living collections include a 1,400 indigenous species herbarium; thousands of plant, animal and mineral specimens; revolving exhibits of environmental artwork; hundreds of photographs and slides, including historical photos of the center's grounds and the surrounding community; historical structural remnants throughout the center's property; and a demonstration solar pv installation.

Intended use of organization's endowment funds the endowment funds of the center are to be used primarily for the operations of the center and its mission.

PART X, LINE 2:

Uncertain tax positions under asc 740 gaap requires entities to evaluate, measure, recognize and disclose any uncertain income tax positions taken on their tax returns. Gaap prescribes a minimum recognition threshold that a tax position is required to meet in order to be recognized in the financial statements. The center believes it had no uncertain tax positions as defined in gaap.
