The school understands the importance of having the form 990 reviewed by the board of directors prior to filing with the irs. Due to a change in personnel time did not allow for a board review. The school will have the form 990 reviewed by the board in the future as it has in years past.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers board directors, officers, and key employees. All board members, officers, and other key employees annually sign a conflict of interest statement in which family and business relationships are expressly mentioned. The board as a whole monitors the policy and enforces compliance. If a potential or actual conflict is determined to exist, the interested party will refrain from participating in discussions or decision-making regarding the conflict.

Form 990, Part VI, Section B, Line 15

The school's business manager solicits and analyzes comparable data from other, similar independent schools when the head of school's employment contract is up for renewal. The process is designed to ensure that the head of school's compensation remains within fair market range for the industry. The business manager discloses her findings to the board chairman who shares the data with the executive committee. The executive committee will then make compensation decisions for the head of school in closed session.

The organization expanded its service offerings with the opening of the lower elementary program. The program opened in the 2023-24 school year with five inaugural students. Lower elementary is a mixed age classroom for children in first through third grades. The capacity for the class is 25 students, ideally comprised of a balanced number of first, second and third graders.

The school accounts for uncertainties in income taxes in accordance with authoritative guidance, which prescribes a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. The school's federal return of organizations exempt from income tax (form 990) for fiscal years ended june 30, 2023, 2022, and 2021 are subject to examination by the internal revenue service, generally for three years after the date the return was filed.
