“The executive committee shall consist of the current year chair, vice chair, 2nd vice chair, immediate past chair, chapter treasurer and staff liaison - chapter president. The president and ceo shall attend all meetings of the executive committee. The executive committee shall meet at the direction of the chair and shall perform the following functions and duties: (a) act as an advisory group to the chair. (b) assist the chair in decisions of a current or urgent nature not requiring action of the board. (c) assist in the preparation of agendas for meetings of the board. (d) assist the chair in carrying out the mandates of the board. (e) review all staff performance evaluations and salary actions. Nothing in the bylaws shall prevent the chair, with the consent of the executive committee, with respect to cost from engaging advisers or consultants to assist in special matters.”

“There shall be three categories of membership: contractor member - any person, firm or corporation engaged in the construction industry as a general contractor, specialty contractor, construction manager and subcontractor. Supplier member - any person, firm or corporation which sells or manufactures building supplies or construction materials to contractor members associate member - any person, firm or corporation which provides professional services to the construction industry. Members of the corporation shall be entitled to all of its rights and privileges including the right to vote and hold office unless otherwise limited hereinafter. The executive committee shall have the power to review and determine the eligibility of all applicants for membership except that no individual or firm may be denied membership on the basis of disability, race, religion, national origin or sex. No labor organization or any officer, employee or agent thereof shall be eligible for membership in the association. No contractor, supplier, or associate candidate shall be excluded from eligibility solely because of membership in or affiliation with a labor organization.”

“All members have a right to nominate and vote on board members.”

“The governing document may only be altered, amended or repealed by a two-thirds vote of the members.”

“The form 990 is prepared by an independent accounting firm. The treasurer will review the form 990 and a copy of the form 990 as it will be filed is provided to all voting board members before the return is filed with the internal revenue service.”

“The policy applies to members of the board of directors, committee members, the chapter president, and the chapter treasurer. In any matters where there might be a conflict between the interests of the leader and of the organization, the leader should disclose this possible conflict to the group on which (s)/he serves and recuse her/himself from voting on such matters. Furthermore, should any person, volunteer or staff, serving on such group be aware of a potential conflict of interest that a leader fails to disclose, (s)/he must raise the issue to the attention of the entire group. Leaders are required to complete an annual disclosure form listing any actual or potential conflicts of interest. Any new conflicts of interest are verbally solicited during the executive committee meetings, which are regularly held, at which time the disclosure forms would be updated.”
