Members have the power to do the following: - determine and maintain the identity, purpose, and franciscan affiliation of the corporation - adopt, amend, repeal, or alter the articles of incorporation and bylaws of the corporation - approve the sale, purchase, mortgage, or encumbrance of any real property transaction greater than $3,000,000 - merge, consolidate, dissolve, or effect any fundamental corporate reorganization of the corporation - determine distribution of assets upon dissolution of the corporation - participate in the nominating of the president of the board of trustees - approve the use of the names "alvernia", "bernardine", and "franciscan" - approve the articles of incorporation and bylaws of any subsidiary or related corporation

A draft of the form 990 is presented to the administration for review and discussion. Items that need clarification are then discussed with management and the university's tax advisors/legal counsel. Once items are clarified and answered, the draft form 990 is presented to the resource, stewardship, and audit committee where there is a discussion of the entire form, questions are answered, and a vote to approve is cast. Once approved, a copy is made available to the full board of trustees via the university's secure portal. After the board has had time to review and comment, the form 990 is filed with the irs.

Annually, the board of trustees, officers, and key employees are required to sign a conflict of interest statement. The business affairs office and human resources reviews all of the statements. Anyone noted with a conflict is required to abstain from voting on such transactions.

Alvernia engages compensation consultants (total compensation solutions) to review national compensation trends and monitors compensation at our peer institutions. This includes utilizing national surveys and databases as well as the consultants' proprietary surveys and specific review of irs form 990s of peers. The consultant serves as an advisor to the presidential compensation sub-committee (board chair, vice chair, and chair of resource, stewardship, and audit committee). The compensation committee makes its recommendations to the board of trustees. The president's performance is reviewed by the board of trustees in an executive session on an annual basis. The university also uses the same consulting firm to review the vice president's compensation. Similar comparisons are made to surveys and peer groups as discussed above. Recommendations are then made to the president. The vice presidents' salaries are then also reviewed by the board of trustees. The compensation determination process is documented each year in the board minutes.

FORM 990, PART III, LINE 1, DESCRIPTION OF ORGANIZATION MISSION:

The university serves eastern pennsylvania with a unique blend of rigorous liberal arts education, strong technical training in many high demand majors, ever-expanding experiential learning opportunities through study abroad and internship experiences, and community engagement through its franciscan-based community service model. The reading campus is in historic berks county, pennsylvania, and situated on both a scenic 121-acre hill campus and multi-facility downtown urban campus in center city reading that spans more than 315,000 sq. Ft. The university's reading campuses are conveniently located near philadelphia (60 miles) and within an easy drive of new york, baltimore, and washington, d.c. The university also has campuses in philadelphia, pottsville, and pittston, pennsylvania, serving adult learners and graduate students. Through strategic partnerships, alvernia offers multiple graduate and undergraduate online programs and more than 700 online consortium courses providing a boundary-free approach to learning. Alvernia is a professional, doctoral university that deploys a four-college model having a college of business, communication and leadership, college of health sciences, college of humanities, education and social sciences and college of science, technology, engineering, arts and mathematics. Alvernia offers more than 50 undergraduate majors and minors including pre-professional programs in medicine, dentistry, law, and veterinary medicine. The university also provides a broad range of graduate programs at the master's and doctoral levels. Many of the university's programs are in highly technical fields such as engineering, healthcare, behavioral sciences, business, and many others. Alvernia supports a stimulating, experiential-based learning model in a caring valued-driven community that is welcoming to more than 3,000 students who hail from diverse geographical, cultural, and religious backgrounds. The university's athletic teams, the golden wolves, compete under the national collegiate athletic association division iii and are members of the freedom conference of the middle atlantic conference, as well as members of the eastern college athletic conference. Financial Statement Notes

PART III, LINE 4:

During fiscal year 2015, alvernia university received an elliot clock as a donation. The clock is on display as a historical treasure in the franco library for the enrichment of the college and its students. During fiscal year 2022, alvernia university made a final payment for a golden wolves statue, as a symbol of the school mascot and it is displayed outside of the physical education building. It was being funded by donor contributions in memory of a former staff member and field hockey coach.

Alvernia university's endowment funds are used for student scholarships and capital purchases including technology and deferred maintenance, as designated by the donor or board.

PART X, LINE 2:

The university accounts for uncertainties in income taxes in accordance with authoritative guidance, which prescribes a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. Management determined there were no tax uncertainties that met the recognition threshold at june 30, 2022.
