Governance Explanations

Form 990, Part VI, Section A, Line 4

New by-laws and articles of incorporation were created and adopted in december 2013 due to the affiliation between rosenbach musuem and library and the free library of philadelphia foundation.

Form 990, Part VI, Section B, Line 11

A copy of the draft form 990 is emailed to all board members as a pdf as soon as it is completed, as well as uploaded to the board's secure web portal question and comments are solicited during the board's meetings thereafter.

Form 990, Part VI, Section B, Line 12

The conflict of interest policy is currently under revision and is being informally monitored at present.

Form 990, Part VI, Section B, Line 15A

The board of directors, acting in tandem through its finance committee and its executive committee, sets the compensation level for the executive director annually this is accomplished by considering 1) the director's performance as documented in an annual performance review, 2) salaries of individuals in similar positions, as documented by salary surveys received and/or purchased each year from the greater philadelphia cultural alliance, the association of art museum directors, the american association of museums, and forms 990 of other organizations, 3) the financial position of the museum itself all of the members of these two committees are independent directors of the organization for the compensation levels of key staff members, the same procedure is followed, but with the additional participation and recommendations of the executive director, based on his own performance reviews of those individuals.

Form 990, Part VI, Section C, Line 19

The organization makes certain of its governing documents (articles of incorporation, by-laws, deed of trust) available to the public on request it does not make minutes of meetings of the board of trustees and its committees public, nor internal financial statements and projections similarly, the museum makes copies of its policy on conflicts of interest available to the public on request, but not those copies actually signed by board and staff members finally, the museum makes audited financials statements and forms 990 available by request (the forms 990 are also available on the websites of third-party organizations such as guidestar). In addition, the museum produces an annual report with summary financial information derived from the independent audit and a review of the activities the organization has undertaken in the preceding year annual reports are available through the museums website or can be mailed to those persons who request a printed copy.

Financial Statement Notes

PART III, LINE 1A:

Contributed collection items, including rare books, manuscripts, fine and decorative arts and period furnishings are not recognized in the financial statements. The original real estate at 2010 delancey place, which is included in the national register of historic places and is a designated literary landmark, is considered a part of the collection and is not included in property and equipment. In december 2013, rosenbach museum and library (rml) received court approval to affiliate with the free library of philadelphia foundation (the foundation), with the foundation becoming the sole member of rml non-profit legal entity. Due to the rml collections of rare books, manuscripts, and fine arts as well as public programming, foundation management believes the affiliation will enhance its various current library programs.

PART III, LINE 1A:

Fine art the rosenbach's collection of paintings includes important american portraits by gilbert stuart, thomas sully, bass otis, matthew jouett, and john wesley jarvis; and european genre paintings including those attributed to angelica kauffman. Many paintings are installed in the historic house where rosenbach family portraits and travel souvenirs by artists of the school of caneletto lend a personal quality to the collection. Drawings range from the italian renaissance to the present, and from informal sketches to master drawings to preliminary drawings for book illustration. Artists include 18th-century french masters fragonard, le prince, and gravelot, as well as a portrait attributed to jacques louis david; pencil drawings by william blake and john tenniel; and drawings from the rosenbach's maurice sendak holdings. The collection of prints focuses on those associated with book illustration and shares many original artists with the rosenbach's drawings collection. Original artists represented by prints include aubrey beardsley, george cruikshank, john tenniel, and charles balthazer julien saint-memin. Printmakers of note include the dalziel brothers, david edwin, and william blake. The rosenbach also preserves a group of copper plates used in printing both independent works and book illustrations. Sculpture in the collections dates from ancient egypt and cyprus to 20th-century europe, with materials including bronze, stone, wood, and ceramic. Portrait miniatures philip rosenbach purchased a collection of 450 portrait miniatures from english painter talbot hughes in 1928. The largest collection of oil on copper miniatures in the united states, it includes portraits painted by english, dutch, spanish, italian, and french artists. In addition to the hughes collection, the rosenbach maintains a fine selection of american, english, and continental miniatures in other media: watercolor on vellum, watercolor on ivory, enamel, and wax, as well as one miniaturist's paint box and another's diary and account book. The portraits date from the 16th to the 19th century. Although many retain their original frames, a large number have been reframed, probably by an earlier collector, to standardize their appearance. Philip rosenbach displayed the miniatures grouped in a series of tortoise-shell frames. Metal, ceramics, and glass these media are most often represented by domestic objects, many of them rosenbach family belongings, but some collected for use, resale, or display by the brothers. Ceramics range from the 16th to the 20th century and were produced in england, france, china, and italy. Famous makers include derby, wedgwood, and sevres. Two centuries of crystal manufacture include chandeliers and tableware from britain and the continent. Work in metal consists of samuel yellin ironwork, and silver flatware and hollowware dating from the 17th to the 20th century by myer myers, paul storr, hester bateman, tiffany & co., as well as a range of 19th-century philadelphia manufacturers and earlier silversmiths from russia, ireland, holland, england, italy, and france. Furniture, clocks, looking glasses, lighting, and textiles objects in these categories furnish the period house, range in date from the 16th to the 20th century, and include examples of british, american, and continental origin. Although many pieces are associated with known makers, this is an area in the collections that requires further research. The furnishings of the recreated living room of marianne moore also warrant further research and interpretation in conjunction with her library and papers. The period sconces and chandeliers that illuminate the rosenbach were conserved in 2002-2003 during the museum's restoration and expansion project. These fixtures range in period from the early 19th to the early 20th century. They originally provided light from candles, gas, and electricity, and are fashioned of crystal and a variety of plated and alloyed metals. Portable ligh

PART III, LINE 4:

Pelerinages (1437) to manuscripts of emile zola and anatole france. Book arts, incunabula, maps and broadsides objects in these categories are notable for their physical features in addition to their intellectual content. About two dozen codex manuscripts, many of them illuminated, represent the arts of the book in europe before printing, and nearly 100 incunabula are among the earliest examples of printing. Other books, such as a complete set of kelmscott press titles, were collected as beautiful specimens of the book arts. Beyond their aesthetic qualities, bindings, illuminations, illustrations, and typography can also reveal the ways in which books were made and used, providing insight into topics like trade practices and education in the societies from which they came. Maps indicate not only what was known about the world from the 16th through the 19th centuries, but what different users needed to know, presented in formats suited to their varying circumstances. A collection of broadsides from the same period, which provided timely public information on everything from battles to theatrical performances, are another specialized format. Judaica, children's literature, and rosenbachiana dr. Rosenbach gave away two of his most famous collections during his lifetime, but significant objects representing these interests, as well as his scholarly, philanthropic, and business pursuits remain here. He donated his early american judaica to the american jewish historical society in 1931. The small collection remaining at the museum includes several hebrew incunabula, the amsterdam haggadah of 1695 (the first with a map of the exodus), and the first hebrew grammar printed in the united states (1731). Most of his early american children's literature was given to the free library of philadelphia in 1947, but there are still a number of examples of both instructional and entertaining works. For each of these collections, the doctor compiled a scholarly bibliography that became the standard reference in its field. The working papers for these and his other writings, as well as correspondence that documents his involvement with a variety of jewish organizations, are part of the rosenbach company archives. The archives' stock files, purchase and sales records, correspondence, and financial records are an important resource for tracing the formation and dispersal of many important collections, and for the study of the american antiquarian book trade in the 20th century. Selections from the archives are regularly on view in the third-floor library, illustrating stories from the company's history. Other rosenbachiana includes personal papers and photographs of several generations of the family.

PART III, LINE 4:

The endowment of the foundation consists of 57 funds established by donors for various purposes. The endowment of the rosenbach consists of 22 funds established by donors for various purposes. As required by united states generally accepted accounting principles, net assets associated with endowment funds, including funds designated by the board of directors to function as endowment, are classified and reported based on the existence or absence of donor-imposed restrictions.

PART V, LINE 4:

The foundation and the rosenbach have each obtained a favorable determination that it is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and each is classified as an organization that is other than a private foundation. Accordingly, no provision has been made for income taxes. Management has reviewed tax positions taken in filings with federal and state jurisdictions and believes those positions would be sustained should the filings be examined by the relevant taxing authority. These tax filings for fiscal 2011, 2012 and 2013 are subject to examination, generally for three years after they were filed.
