Governance Explanations

Form 990, Part VI, Section A, Line 4

On advice of counsel, we have removed from the Laws the detailed procedures for the classes, the election of members, and the lengthy description of our committees and their working procedures. The version we are submitting for approval is thus significantly shorter than its predecessor. These materials will in the future be part of a new document called Regulations, which will be adopted by vote of Council and will be more readily amended as operational details evolve. The Laws, however, will remain subject to revision only by a vote of the Members (as state law provides). Apart from this major alteration, the significant areas of change in the Laws are as follows:1. Language from Pennsylvania law has been inserted into a considerable number of articles to conform to the current state of statutes. This language is mandatory and not subject to change by us. The most important such new language is in Chapter II, Article 9, Reserved Powers of Members. 2. Pennsylvania requires that committees be either governance committees, strictly defined as capable of acting on behalf of the Society, or advisory committees, of which the actions require ratification by Council. We have kept in the Laws only one governance committee, the Executive Committee of Council. All others are advisory and will be described in the Regulations. They can in fact take decisions within policies approved by the Council, for example in awarding research grants or fellowships, in selecting candidates for the annual elections, and in accepting acquisitions for the Museum. But they cannot establish policies without approval by Council. This is an important change in how we have operated, but we believe it can be implemented without disruption. 3. Just as we changed the Librarians official title recently to Director of the Library & Museum (in large part to recognize the union of those two departments), we recommend using the title Chief Executive officer to make the nature of the position more recognizable in the world at large, and retitling the Financial Officer as the Director of Finance and Administration/Chief Financial Officer for similar reasons and to make the scope of this position clearer.4. We have recommended allowing International Members to nominate persons for membership. Such nominations remain subject to the decision of the Class Committees whether to have names go forward onto the first or second ballot, and International Members remain unable to vote in elections. 5. On advice of counsel, the provision for continued service on Council of past presidents has been eliminated (Chapter VI, Article 1). 6. The Curator of Art and Material Culture is now to be elected by the Members like other officers. The Curator of the Jefferson Garden will remain a presidential appointment but not serve on the Council. We have provided in the Regulations for a new Committee on Compensation, something we have lacked until now, with an annual duty of recommending the compensation for the Chief Executive Officer and a periodic one of reviewing the entire compensation structure of the Societys staff.

The treasurer and the chair of the committee on audit are responsible for soliciting comments from the committee on audit and receiving comments from the council within a fixed reasonable period of time before the expected (initial or extended) filing due date. The treasurer and chair of the committee on audit report any concerns to the chief executive and administrative officers for review. The chief executive officer responds to the treasurer and the chair of the committee on audit in a reasonable manner. The chief executive officer after due deliberation signs the return.

As permitted by the provisions of FASB ASC 958, Not-for-Profit Entities, the Society does not capitalize donated works of art, books, or manuscripts or recognize them as revenue or gains.Collection items acquired either through purchase or donation are not capitalized. Purchases of collection items are recorded as decreases in unrestricted net assets if purchased with unrestricted assets and as decreases in temporarily restricted or permanently restricted net assets if purchased with donor-restricted assets. Contributions of collection items are not recognized in the Statement of Activities. Proceeds from deaccessions or insurance recoveries are reflected on the Statement of Activities based on the absence or existence and nature of donor-imposed restrictions.The Society's accounts do not include values of Philosophical Hall, built between 1785 and 1789, a national historic landmark, and its collection of books, manuscripts and works of art.

Part III, Line 4: Description of organization'S collections and how it furthers its purpose.

The Society's offices and exhibition galleries are located in Philosophical Hall, a national historic landmark. Its collection of books, manuscripts and works of art support research, discovery and public education through public exhibitions and the Society's research library.

Part IV, Line 1B: Why is organization an agent, trustee, custodian or other intermediary for contrib

The Society is the beneficiary under a number of trusts administered by two banks. The assets of the trusts are not included in the Statement of Financial Position since the Society does not exercise any control over those funds and certain conditions must be met annually to receive the income. The income from the trusts for 2024 and 2023 was $213,750 and $225,000, respectively.

Part V, Line 4: Intended uses of the endowment fund.

Under the Society's endowment spending policy, 4.5% of the average market value at the mid-point of the previous three years is appropriated for current operations. The investment policy utilized by the Society attempts to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the purchasing power of the endowment assets (donor-restricted funds that the Society must hold in perpetuity or for a donor-specified period as well as council designated funds). Endowments have been established for the following activities: administration, research, publications, meetings, library, Franklin Hall, and any other activity of the Society.

Part X : FIN48 Footnote

The Society is a publicly supported tax exempt organization in accordance with the provisions of Internal Revenue Code Section 501(c)(3). Accordingly, no provision for federal income taxes has been made. The Society is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
