Governance Explanations

Form 990, Part VI, Section A, Line 8B

The board is currently reviewing its by-laws and governance documents to ensure all committees conform to this best practice.

Form 990, Part VI, Section B, Line 11B

The completed 990 is reviewed by the audit committee; they then present it to the full board for approval. Once approved, the vp of finance will authorize the firm that prepared the 990 to file the form electronically with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

All board members and key employees are required to submit an annual "related parties" questionnaire to disclose any potential or existing conflicts of interest between themselves (or their immediate families) and the school. The executive committee of the board reviews each form and notes all situations that might require members to recuse themselves from any discussions and/or votes that might have a material effect in the school's relationship with that entity.

Form 990, Part VI, Section C, Line 19

The school's governing documents, conflict of interest policy, and annual financial audit are made available to the general public upon request.
