Governance Explanations

Form 990, Part VI, Section A, Line 6

Members of the york county history center pay an annual membership fee based on membership benefits they would like to receive. All members are entitled to vote for the board of directors at the annual meeting. Members do not approve significant decisions of the board, nor are they entitled to receive a share of the organization's profits or assets upon dissolution of the organization.

Members of the york county history center are entitled to elect board members at annual meetings.

Form 990, Part VI, Section B, Line 11B

The 990 will be reviewed by the finance committee which will make a recommendation to file to the executive committee. The return will then be reviewed by the executive committee, which will recommend that it be filed to the board. All members of the board will have an opportunity to review the 990 prior to its approval.

The conflict of interest policy requires that the board of directors complete an annual questionnaire. Any potential conflicts are reviewed by the officers of the organization.

Form 990, Part VI, Section B, Line 15A

The executive committee of the board of directors of the york county history center has the responsibility to determine the compensation of the president/ceo. Annually, they review the performance of the president/ceo and evaluate his/her level of compensation in an executive session of the executive committee meeting. Neither the president/ceo nor any other history center employee is present at these sessions. Compensation is evaluated based upon job performance and the compensation rates of individuals at the same level in other similar organizations. Based upon this review, the executive committee proposes any adjustments to the compensation of the president/ceo which are then approved by the board. The salary ranges of other personnel are periodically reviewed by the personnel committee.

Financial Statement Notes

PART III, LINE 1A:

Artifacts in the museum collection of the history center trace the history of the region now comprising york county from its pre-history to the 20th century. Current collections contain household furnishing and utensils, glass, ceramics, textiles, clothing, agricultural tools and equipment, early vehicles, drawings, paintings, engravings, and historical relics. Objects appropriate for these collections include the fine and decorative arts, artifacts relating to historic events or persons, industrial, commercial, and agricultural artifacts, and artifacts which relate to education, politics, religion, recreation, and everyday life in york county. Except for real estate, assets of historical value are not recorded in the financial statements. For example, historic artifacts such as antique clocks, various pieces of furniture, and many of the items in the history center's museums, have not been recorded in the financial records. The staff, committees, and volunteers play an integral part in the acquisition, documentation, display, conservation, management, and utilization of objects in the collections of the history center. The authority and responsibilities of each are set forth in the collections policies of the history center originally adopted june 17, 1992 and most recently revised in 2020. The collections committee of the history center advises the board of directors on matters relating to the management and disposition of museum collections. The director of collections (the director) establishes and implements procedures governing the documentation, handling, storage, and accessibility of collection objects. Such procedures are carried out only with the full authorization of the director. Procedures governing the documentation, handling, storage, and utilization of the museum collections are contained in a collection procedures manual maintained by the director of collections. Collection management procedures used at the history center comply with the accreditation standards of the american alliance of museums (aam). During the years ended june 30, 2021 and june 30, 2020, the history center sold several collection items and received proceeds of $0 and $2,448,452, respectively. The proceeds of those sales are designated for future care of current collection items and purchases of collection items. During the years ended june 30, 2021 and 2020, the history center purchased items to add to its collections of $3,630 and $0, resprectively.

PART III, LINE 4:

PART IV, LINE 2B:

The york county history center was the fiscal agent for an organization formed for the purposes of planning and holding an event in 2021. The funds not yet expended were included in the history center's cash and escrow or custodial account liability balances as of june 30, 2021.

PART V, LINE 4:

The center's intended use of its endowment assets is to provide a predictable stream of funding to programs supported by the endowments as well as to maintain the purchasing power of the endowment assets.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the history center, including whether the entity is exempt from income taxes. Management evaluated the tax positions taken and concluded that the history center has taken no uncertain tax positions that require recognition or disclosure in the financial statements. Therefore, no provision or liability for income taxes has been included in the financial statements. With few exceptions, the history center is no longer subject to income tax examinations by the u.s. Federal, state, or local tax authorities for years before 2018.
