Form 990, Part VI, Section B, Line 12C

Trustees, officers, and key employees complete a disclosure of conflict statement annually. The statement expressly mentions family and business relationships as being sources of potential conflicts. The executive committee for the college monitors the policy and statements made by trustees, officers, and key employees. Those who have a conflict of interest are asked to refrain from participating in consideration of proposed transactions, unless for special reasons the board or administration requests information or interpretation. Persons with conflicts shall not vote, participate in discussions, or be present at the time of voting.

Form 990, Part VI, Section B, Line 15

The college conducts a study each year of the salaries and benefits for the employees of the college who report directly to the president (the the president's council). The study documents the salaries and benefits of those in similar positions within higher education, comparing data from centennial conference colleges, pa colleges and d3 colleges. The executive committee of the board of trustees determines the compensation of the president of the college and reviews and approves the compensation recommendations of the president.

Form 990, Part VI, Section C, Line 19

Ursinus makes its governing documents, conflict of interest policy, financial statements, and forms 990 and 990-t available to the public upon request. Financial statements and forms 990 and 990-t are also available on the college's website.

Additional Explanations

FORM 990, PART XI, LINE 9:

Actuarial loss on annuity liability -278,832. Change in cash surrender value 6,706. Gain on assignment of perkins loans 130,723.

Financial Statement Notes

PART II, LINE 9:

The college does not report the conservation easement on its revenue and expense statement or balance sheet.

PART III, LINE 4:

The permanent art collection housed in the philip and muriel berman museum of art at ursinus college provides a valuable cultural resource for the campus community. The museum, in conjunction with the art department, integrates the rich resources provided by the collection into academic programming focusing on important texts related to the collections.

PART V, LINE 4:

Endowment funds provide returns that are used to support the operations of the college. Specifically, endowments are established to support student scholarships and prizes, educational programs, specific capital purchases and other operational needs. Previously, the college's form 990 reported both pooled endowment assets-those subject to the college's spending rule-and other endowed assets, such as split-interest agreements and beneficial interests in perpetual trusts, which are not pooled and not subject to the spending rule. Now, the 990 presentation reflects only those assets that are pooled and governed by the college's spending rule. This change aligns the form 990 more closely with the endowment presentation in the college's financial statements, providing a more meaningful and accurate representation of the endowment's operating impact.

PART X, LINE 2:

The college recognizes a tax position based on a more likely than not threshold. This applies to positions taken or expected to be taken in a tax return. The college's management does not believe its financial statements include any material uncertain tax positions.
