“The association has a management contract with paa services, inc. The management company employs the individuals who render services under the management contract, however, these individuals all report to john devlin, who is the ceo of both paa services, inc. And the association. Three officers of the association are paid for services to the association through a management contract. The compensation and benefits allocated to the association are as follows: john devlin, president compensation: $91,100 benefits: $5,312 steven smith, cpa, vice president of finance and human resources compensation: $21,089 benefits: $2,176 mark stine, executive vice president compensation: $295,181 benefits: $21,794”

“Membership in the association is limited to persons, partnerships, limited liablity companies or associations engaged in some branch of the franchised new automobile and truck dealer industry or allied therewith.”

“Only "franchised members", members franchised as a new automobile or truck dealer, are entitled to vote. The others are "associate members and are nonvoting. The board is comprised of 15 to 45 directors who must be a principal or hold an ownership interest in a "franchised member." six "directors at large" are the president of the greater pittsburgh automobile dealers association, the president of the automobile dealers association of greater philadelphia, the two nada directors representing eastern and western pennsylvania, and the chair, or the chair's appointed designee, of the pennyslvania truck dealers committee and of the pennsylvania powersports dealers committee. The remainder of the board is elected by a majority vote cast by the franchised members whose dealerships are located in their respective areas as designated by the executive committee of the board.”

A copy of the reviewed draft is then provided to the executive committee for approval, and once approved, the final draft is made available to the board of directors for review 30 days prior to filing.”
