Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership in the association is open to any person, firm, corporation, or institution engaged in any business or activity connected or allied with the electrical industry. Company memberships are organized into the following divisions: contractors, manufacturers, wholesalers, engineers, utilities, and at-large. Individual memberships consist of the following categories: associate members who are employees of member companies, facility maintenance engineers, retired members, and students who are actively pursuing education in the electrical industry on a full-time basis.

Form 990, Part VI, Section A, Line 7A

The association's board of governors is elected by the voting membership. In doing so, each company member may appoint up to two individuals from the organization as official representatives, both of whom shall have the power to vote. Individual members, with the exception of associate members, are also entitled to vote.

The amendment of the association's bylaws requires a two-thirds majority vote of the association's voting membership.

The association's 990 is prepared by independent accountants and provided to the association's executive director for initial review prior to dissemination to the association's board of governors for a final review before filing.
