Governance Explanations

The board delegates authority to act on its behalf between meetings of the board of trustees to a 6 member executive committee. The executive committee may exercise all the powers of the trustees except it may not authorize any action which requires the vote of at least two-third of the trustees under the rubin museum of art's governing document. All 6 members of the executive committee are members of the board.

The founder shelley rubin, has the right to appoint up to two trustees to the board provided such trustees are family members of her family. To-date, shelley rubin has appointed basha rubin as a trustee.

Form 990 is prepared by the rubin museum of art's auditors, reviewed by the deputy executive director/cfo & coo and emailed to the full board of trustees at least 3 weeks prior to the due date, leaving 3 weeks for trustees' questions or comments. It is then filed by the organization.

Form 990, Part VI, Section B, Line 12C

The rubin museum of art's "code of ethics for trustees, employees and volunteers" is agreed and accepted in writing by all such individuals when they join the organization in their respective capacities. In accordance with the provisions of this policy, each trustee and employee with managerial responsibilities is furnished with a copy of this code of ethics at least annually and requested to complete and file with the organization an "annual conflict of interest statement". The deputy executive director reviews all such statements and, if there is a potential or actual conflict of interest, the deputy executive director brings it to the attention of the executive director and the executive committee.

The process used to establish compensation for top management and key employees includes review of compensation for similar positions at comparable museums and charities in the new york metropolitan area; the cpi for nyc; performance evaluations; and relative parity within the organization. This information was presented to the executive director by the deputy executive director, cfo & coo for the year ended 12/31/2024. The compensation for all employees was then approved by the executive director and the executive committee of the board. This process was last undertaken for executive management team (officers and key employees) in december 2024.

Financial Statement Notes

PART III, LINE 1A:

The value of the collection, which was acquired through purchases and contributions since the museum's inception, is not reflected as an asset on the statements of financial position. Purchases of collection items are recorded as decreases in net assets without donor restrictions in the year of acquisition. Contributions of collection items are not recognized in the statements of activities. Proceeds from deaccessions or insurance recoveries would be reflected on the statements of activities based on the absence or existence and nature of donor-imposed restrictions. Funds received from the disposal of a deaccessioned work shall not be used for operating expenses or capital expenses. Such funds, including any earnings and appreciation thereon, may be used only for the acquisition of works in a manner consistent with this collection management policy on restricted acquisition funds. The collection is held for public service rather than financial gain, protected and preserved, and subject to an organizational policy that requires the proceeds from sales of such items to be used to acquire other items for collections.

PART III, LINE 4:

The museum's collection of more than 3,300 objects is considered to be the most extensive of its kind in the west. It includes himalayan paintings, sculpture, ritual objects, and prints spanning the period from the 2nd century to the 21st century. The collection is the basis of the museum's exhibitions, education and public programs which are viewed and enjoyed by approximately 200,000 people per year.

THE RUBIN CONTINUED THE NATIONAL TOUR OF THE COLLECTION EXHIBITION GATEWAY TO HIMALAYAN ART, STOPPING AT THE UNIVERSITY OF FLORIDA AND THE OTTERBEIN UNIVERSITY IN OHIO, AND THE EUROPEAN TOUR OF THE MANDALA LAB INSTALLATION, WHICH TRAVELED TO MILAN AS PART OF A PARTNERSHIP WITH THE BIBLIOTECA DEGLI ALBERI MILANO.
