Ifca's purpose is to represent the concerns of ifca contractors, both large and small. In this capacity, ifca's functions include negotiating and administering collective bargaining agreements with unions that represent the employees of ifca's members; promoting the interests of furniture systems and interior finish contractors; providing a conduit for the interchange of information between and among our contractors; dealing with owners, architects and general contractors; assisting, where appropriate, with claims, collections and jurisdictional disputes affecting our members; and taking a pro-active role to promote our industry. Governance Explanations

Form 990, Page 6, Part VI, Line 6

The organization has members. "regular" members of the association shall be any individual, firm, corporation, partnership, proprietorship or other person or entity who has been actively engaged primarily in the interior finish contracting and interior and exterior wall systems or furniture systems industry, who has contributed to one or more of the association's industry advancement funds for at least twelve continuous months prior to membership (or a shorter time period at the association's discretion), whose application for admission as a regular member has been approved by the association, and who is not delinquent, as determined by the board of directors, in payment of dues. The organization's bylaws provide that regular members shall be entitled to vote on any matters discussed at membership meetings of the association and will be eligible for any association industry advancement benefit. "grandfathered" members do not contribute to the association's industry advancement programs. Annual dues for grandfathered members shall be 2,500 per year, or as determined by the board of directors. Grandfathered members will be entitled to most of the association's services and benefits; however, the association will not act as the collective bargaining agent for any grandfathered member nor will the association provide legal advice to a grandfathered member as it relates to collective bargaining. Other than as set forth above, grandfathered members shall be treated as regular association members with respect to any cost- contributing association event. Therefore, grandfathered members are also entitled to vote at membership meetings of the association.

At each membership meeting of the association, a majority of the voting members present shall elect such number of directors as necessary to fill vacancies of directors whose terms expire as of such meeting.

Electronic draft copies are sent to the executive director of the association for dissemination to the board of directors with written instructions to review and approve the form in accordance with irs regulations. Written comments and questions by the board, if any, are sent to the accountant for responses. After any comments and questions have been resolved to the board's satisfaction, the form 990 is approved by majority vote of the board at the next board of directors meeting.

"REGULAR" MEMBERS OF THE ASSOCIATION SHALL BE ANY INDIVIDUAL, FIRM, CORPORATION, PARTNERSHIP, PROPRIETORSHIP OR OTHER PERSON OR ENTITY WHO HAS BEEN ACTIVELY ENGAGED PRIMARILY IN THE INTERIOR FINISH CONTRACTING AND INTERIOR AND EXTERIOR WALL SYSTEMS OR FURNITURE SYSTEMS INDUSTRY, WHO HAS CONTRIBUTED TO ONE OR MORE OF THE ASSOCIATION'S INDUSTRY ADVANCEMENT FUNDS FOR AT LEAST TWELVE CONTINUOUS MONTHS PRIOR TO MEMBERSHIP (OR A SHORTER TIME PERIOD AT THE ASSOCIATION'S DISCRETION), WHOSE APPLICATION FOR ADMISSION AS A REGULAR MEMBER HAS BEEN APPROVED BY THE ASSOCIATION, AND WHO IS NOT DELINQUENT, AS DETERMINED BY THE BOARD OF DIRECTORS, IN PAYMENT OF DUES.
